Une entreprise de premier plan dans le secteur de l'assurance recherche un Vice-Président Régional pour rejoindre son équipe dynamique. Ce rôle crucial implique d'assister le département juridique sur des questions de gouvernance d'entreprise, de droit commercial et d'assurance. Vous serez responsable de la préparation des réunions du conseil, de la gestion des documents juridiques et de la recherche juridique. Qualifications

  • Diplôme de Master en droit des affaires ou droit international requis.

The Role :

On Corporate Governance and Company Law issues, assist the Legal Department, which is responsible for :

  1. Prepare meetings of the Board of Directors, Supervisory Board and Committees (agenda, script for the chairperson, supporting materials, minutes, etc...);
  2. Prepare / Review / Update / Store delegation of powers and payment authorities;
  3. Update and organise corporate registries;
  4. Support subsidiaries all around the world with their governance-related requests;
  5. Assist with any ongoing M&A projects, corporate legal issues;
  6. Document legal processes / document management: ensure the storage / archives is properly structured, organised and up to date, that documents are properly stored, easily accessible and cleaned up, review accesses;
  7. Maintain the corporate legal flowchart, company profiles / group company flowcharts up-to-date;
  8. Maintain group and regional legal community organisational chart up-to-date;
  9. Coordinate legal formalities and corporate documentation for subsidiaries and branches;
  10. Organise required signatures by company directors / executives;
  11. Assist with documents requests by regulatory bodies;
  12. Conduct legal researches in relation to corporate, governance and regulatory legal issues;
  13. Watchlist: ensure corporate governance developments are being monitored and shared.

On General Contract, Commercial and International Trade Law and Insurance Law issues, assist the Legal Department, which is responsible for :

  1. Legal support to group functions (HR, Procurement, Finance, Audit, etc...) on general / business matters;
  2. Legal research on general contract & insurance law;
  3. Legal support to group and regional functions on insurance-related matters (policy wording review, insurance setups review...);
  4. Update templates of contracts (NDA, NDU, MOU, LOI, Services Agreements, internal documents…);
  5. Coordination with external counsel;
  6. Follow-up and reporting of litigations;
  7. Conduct legal researches in relation to legal issues (contractual reviews, contract law issues, commercial law, insurance law).

Required Skills

  1. 12 or 24 months starting September 2025
  2. Master's degree in business law, corporate law, general private law, or international trade law from a recognized French University
  3. English mandatory and French language preferable in all forms of communication as well as understanding of complex information
