Job Description: Senior Legal Counsel at Mirova

You join the Mirova legal team as a Senior Legal Counsel (transactional lawyer) to work closely with colleagues from emerging markets. Your main mission will be to support Mirova’s management teams in managing private asset funds, mainly in emerging countries (Asia, Africa, South America), as well as other activities of the legal service, including developing an investment advisory activity. You will also assist management teams in acquiring companies within natural capital, energy transition, private equity, carbon funds, etc.

On a daily basis, you will be responsible for:

1. Assisting the investment committees of the funds and providing legal advice;
2. Providing legal support to transaction teams to ensure all financial documentation is negotiated, appropriately structured, and documented according to the parameters set by the investment committee, company policies, legal documentation of funds, and Mirova’s policies;
3. Leading and supporting negotiation of transaction documents;
4. Instructing and managing external advice, including local councils;
5. Managing the transaction process, including coordination with various external parties;
6. Performing thorough analysis of current loan and/or investment agreements, updating loan models, SPA, SHA, and conducting research as required.

As a Transactional Jurist, you will participate in improving legal processes and documentation, and support investment teams on new product ideas and sectors.

Required Skills/Qualifications/Experience:

• Degree in English and French law, with at least 10 years of experience in transaction consulting within a law firm or banking institution.
• Significant experience in sub-Saharan Africa, Southeast Asia, and/or emerging markets is highly valued. Knowledge of OHADA countries is an asset.
• Proficiency in banking, finance, and project financing; familiarity with LMA documentation.
• Excellent relationship skills, good listening abilities, team spirit, and communication skills.
• Mastery of English at C1 level.
