Sodiaal Group seeks a seasoned corporate lawyer to manage a portion of the group's French and international legal affairs. You will handle corporate actions, approvals, amendments to articles, capital transactions, share transfers, and draft/ administer board and shareholder meeting materials.

You will provide governance guidance to business units, monitor activity, draft intra-group agreements and powers of attorney, and coordinate with notaries, external counsel, and real estate professionals.

Qualifications

• Master's degree (Bac+5) in Business Law/Corporate Law, preferably supplemented by real estate law.
• Minimum 5 years' professional experience (excluding internships and work-study).
• Strong listening skills, methodical approach, ability to explain clearly, and negotiation skills.
• Professional working proficiency in English is a plus.

Responsabilités

• Legal management of a portion of the Sodiaal group's companies in France and internationally.
• Monitoring corporate actions and drafting corporate documents (approval of accounts, amendments to articles of association, capital transactions, share transfers, etc.).
• Legal preparation for and administration of the group's boards of directors and shareholders' meetings.
• Support and advice on governance issues for the business units.
• Legal monitoring related to your area of activity.
• Preparation and drafting of legal documents related to extraordinary transactions.
• Drafting and implementation of intra-group agreements.
• Drafting and implementation of powers of attorney and delegations of authority and responsibility.
• Legal analysis, drafting and negotiation of real estate contracts in collaboration with notaries.
• Managing external counsel
• Drafting correspondence and transactional protocols; liaising with notaries, real estate agents, and litigation counsel; where applicable, managing and overseeing disputes
• Drafting, negotiating, and managing commercial, professional, civil and residential leases.
