YOUR ROLE :
You will be involved in all areas of corporate law and will primarily be responsible for managing a portfolio of French and foreign companies whose main activities are related to maritime transport and media. As a true "Legal Business Partner," you will work closely with operational teams and all of the Group’s support functions (tax, financial control, accounting, compliance) to provide legal oversight of both ordinary and extraordinary transactions of the subsidiaries under your responsibility and to structure their governance in line with Group standards.
Reporting to the Deputy Group General Counsel for Corporate Affairs, your responsibilities will include:
Managing the corporate lifecycle of the French and foreign companies under your supervision, including organizing Board and General Meetings, structuring governance for each subsidiary (authority matrices, delegations of powers), and drafting equity transactions in collaboration with finance and tax teams (capital increases, partial asset transfers, mergers, issuance of complex securities, etc.), while ensuring compliance with applicable laws, regulations, and internal policies.
Participating in the Group’s external growth operations in close cooperation with M&A teams, especially regarding governance aspects of shareholders’ agreements and acquisition financing.
Leading intra-group reorganization operations (cross-border mergers, simplified mergers, contributions, universal transfers of assets, etc.) as the project lead for the corporate aspects, with a continual focus on legal structure simplification and optimization of the corporate structure.
Working closely with Group legal teams and/or local counsel to ensure day-to-day compliance with local laws and agreements, particularly shareholders’ agreements.
Providing support and technical expertise to operational teams in drafting and implementing various intra-group agreements (shareholder loans, current account advances, receivables transfers, etc.).
Ensuring the reliability of the legal database for the subsidiaries under your responsibility and raising awareness among operational staff on the use of this tool.
Supporting the Legal Department on transversal matters.
Ensuring compliance with internal Group rules and procedures.
Contributing to the improvement of Legal Department tools, including the digitalization of the corporate function.
Monitoring legal developments in corporate law and governance.
