Job Purpose

• Globally assist and provide legal guidance to the business teams involved in the Real Estate and Alternative business lines in carrying out all legal, regulatory, and contractual aspects of this activity.
• Advise on the structuring of JV/Club deals.
• Evaluate and weigh multiple inputs/impacts of decisions/course of action and identify proactive solutions to mitigate risks.
• Ensure harmonization of practices across the businesses and countries.

Key Accountabilities

• Advising on complex transactions (crossborder or local, direct or indirect) with underlying alternative assets, including student housing, hotel, hospital, data center, private equity (including liaising with external lawyers/counsel regarding regulatory, anti-trust, or foreign investment assessments/approvals).
• Advising and drafting documentation related to the terms, structuring, and launching of JV/Club deals between clients and third parties.
• Drafting, negotiating, and advising on documents involving AXA IM Real Assets entities or clients, such as operator agreements, franchise agreements, investment, asset management, and advisory agreements, as well as issuing templates.
• Selecting, managing, and monitoring external lawyers/outside legal counsel, including fee management.
• Performing other tasks and projects as assigned.

Votre Profil

Role Requirements

• French Qualified lawyer.
• 4 years PQE.
• Extensive experience in Corporate M&A or private equity transactions at a recognized law firm.
• Successful experience advising on and negotiating M&A transactions, structuring JV and club deals involving institutional investors.
• Adaptability and ability to work with diverse, multi-cultural teams across jurisdictions.
• Assertiveness and a business solutions focus.
• Team player, proactive, self-motivated, with enthusiasm to evolve in a challenging environment.
