As Senior Legal Counsel at AniCura in France, you will play a crucial role in shaping our legal strategy and ensuring legal support to our business as we deliver exceptional veterinary care in France and across Europe. AniCura is a family of well-known animal hospitals and clinics specializing in veterinary care for companion animals. Over 3,000 passionate veterinary professionals attend to three million companion animal patients. Since 2018, AniCura has been part of Mars Veterinary Health, a family-owned company focused on veterinary care.
We seek a Senior Legal Counsel to provide comprehensive legal support for AniCura's operations in France, mainly managed from our Lyon office. Reporting to the Head of Legal Affairs of AniCura Group, you will operate with high autonomy, providing legal support with a commercial, solution-oriented approach, guiding the business through complex legal and regulatory landscapes. While primarily supporting French operations, you will collaborate with stakeholders across Europe and the Mars organization, including colleagues in the AniCura Legal Function and the broader Mars Legal Department.
Governance Representation: Represent AniCura’s interests in managing its ownership stake in French clinic entities, including governance and corporate law activities, such as preparing for and participating in board and shareholders' meetings, and managing redistributions of shareholdings.
Legal Support for M&A: Provide legal assistance for M&A projects, working with external counsel, including preparing internal briefs, conducting due diligence, drafting transaction documents, and post-closing integration of acquired clinics. This includes drafting and reviewing veterinary practice agreements, lease agreements, and delivering legal and compliance training.
External Counsel Management: Oversee and manage external counsel to ensure quality and cost efficiency.
Qualifications: M or equivalent French law degree; 7+ years in private practice or senior in-house legal roles, preferably in healthcare or veterinary sectors; strong expertise in French corporate law and M&A; proficiency in English and French (additional European languages are a plus).
