Your next challenge
Following Pluxee’s spin-off and listing on Euronext Paris, the Group's legal department seeks a Corporate Legal Counsel reporting to the Head of Corporate & Securities Legal Department. Based at headquarters near Paris, your responsibilities include:
- Managing the housekeeping of Pluxee N.V. with support from external legal counsel.
- Ensuring compliance with obligations as a Netherlands-incorporated company listed on Euronext Paris and adhering to international financial regulations.
- Preparing for the Annual General Meeting of shareholders.
- Drafting annual and market reports and managing disclosure of regulated information.
- Structuring and implementing long-term incentive plans, share buyback programs, employee shareholding plans, and other corporate reorganizations.
- Preparing legal documentation for the Board of Directors, Committees, and Annual Shareholders Meeting.
- Overseeing subsidiaries across approximately 30 countries, including managing Parent Company Guarantees and Delegations of Authorities.
- Managing policies, processes, guidelines, templates, and training related to corporate governance and legal compliance.
- Supporting various legal department projects aligned with your skills and interests.
You're a match if you have:
- A Bachelor's degree in law from a French university.
- Over 5 years of experience in a similar role within a corporate international environment, especially with listed companies on Euronext, and good knowledge of stock exchange regulations.
- Experience in cross-border reorganizations or M&A projects is a plus.
- Fluent in English and French, both spoken and written.
- Additional degrees from Dutch or English-speaking countries and proficiency in Dutch are advantageous.
- Ability to work rigorously, autonomously, and in an organized manner.
- Strong interpersonal skills and a high ethical standard.
- Enjoys teamwork and is reactive, adaptable, and detail-oriented.
