Qualifications

Your next challenge

Following its spin-off and listing on Euronext Paris, Pluxee’s Corporate and Securities Legal Department seeks a Corporate Legal Counsel reporting to the Head of Corporate & Securities Legal.

Main tasks:

1. Manage the housekeeping of Pluxee N.V. with support from outside legal counsel.
2. Ensure compliance with obligations as a Netherlands-incorporated company listed on Euronext Paris and applicable financial regulations.
3. Assist in preparing the Annual General Meeting of shareholders.
4. Draft and review Pluxee’s annual and market reports and regulated disclosures.
5. Support structuring and implementation of long-term incentive plans, share buyback programs, employee shareholding plans, and other corporate transactions.
6. Prepare legal documentation for the Board of Directors, Committees, and Shareholders’ Meetings.
7. Oversee a portfolio of approximately 70 subsidiaries across 30 countries, including management of Parent Company Guarantees and Delegations of Authorities.
8. Manage policies, processes, templates, training, and best practices related to corporate governance and compliance.
9. Contribute to various legal missions based on skills and development preferences.

Qualifications:

• Bachelor’s degree in law from a French university.
• Over 5 years’ experience in a similar role within a listed international company, with knowledge of stock exchange regulations.
• Experience in cross-border reorganizations or M&A is a plus.
• Fluent in English and French; Dutch language skills are a plus.
• Ability to work autonomously, rigorously, and in an organized manner.
• Strong interpersonal skills, ethical standards, and team orientation.
