Qualifications

  • 3 à 5 ans d'expérience en transactions complexes dans le secteur de l'énergie.
  • Compétences avancées en anglais et français, y compris terminologie juridique.
  • Intérêt marqué pour les sujets commerciaux et de durabilité.

Description du poste

The Legal Department provides legal counsel in relation to the sales and service sales transactions of the Sales Unit which include preparation, negotiating and drafting the transactions documents as well as agreements with the different stakeholders to reach those established business goals. Legal matters related to the Sales Unit are also taken care of by the Department, including corporate, procurement, contract management and litigation matters.

The position is primarily for France, dealing mainly with transactions, business and corporate matters in the country but will also require active involvement when needed in the rest of MED Subregions, notably in Italy.

Responsibilities

Reporting to the Legal Director for France, the key tasks are the following:

• Provide advice and assistance in the preparation, negotiation, drafting and closing of transactional documents (EPCs, Turbine Sales Agreements, Service Agreements) as well as subsequent or ancillary early deliverables under such contracts, i.e. PCGs, Lender's Direct Agreements, Escrow Agreements, NDAs etc,

• Ensure and provide continuous legal support to the operations for issues arising after transactional documents are signed and during execution phase as well as of any potential litigation,

• Provide legal counselling to management with respect to current and future wind sector law & regulations impacts,

• Ensure compliance with national legislations, internal rules and group guidelines,

• Oversee corporate matters of the country,

• Ensure that the relevant corporate governance is timely and properly applied along the closing of each transaction,

• Ensure in coordination with the team that a controlled process is run, including that all - internal and external - deliverables are identified early and that responsibility for discharge of task is allocated and accepted and that timelines are complied with,

• Develop and implement good contracting practices, including, providing legal awareness training and creating templates and contract policies.

Qualifications:

• Master in French private business Laws, or European civil law equivalent qualification,

• Solid legal educational background handling/analyzing complex transactions especially relating to construction industry or huge scale projects, with 3 to 5 years of relevant experience working for an in-house corporation or a law firm,

•Skilled commercial mindset and are interested in learning further about commercial and technical issues,

• Innovative and well-organized, but holds demonstrated stakeholder management skills and experience working in a multinational, matrixed organization,

• You will come from an Energy industry or have other significant experience with handling large scale international energy, construction, industrial equipment tools, automotive, aeronautical or railway transactions. Wind industry experience being a significant plus,

• Advanced proficiency in spoken and written English and French.

• Effective negotiation skills and capability to deal with intensive/high level negotiation sessions, with a motivated and goal-oriented mindset,

• Solid ethical principles and compliance focus,

• Ability to effectively persuade and communicate within all levels of a global organization, as well as third parties,

• Ability to prioritize among competing urgent matters and allocate resources for maximum impact,

• Ability to analyze complex problems and apply legal principles, facts and precedents to recommend adoption of an effective, practical and proper course of action,

• A keen interest in business-related topics and an understanding of how legal aspects intersect with value creation

• General curiosity for renewables, environment, sustainable solutions and their associated products,

• high organizational skills and readiness to handle change,

• Ability to work under time sensitive environments and consistently meet deadlines,

• Clear focus on continuous improvement,

• Flexibility with travel, based on company needs and goals,
• Fluency: French and English, including legal and business terminology, Another European language.
