An international infrastructure firm based in France is seeking a Legal Counsel to manage legal aspects of public tender and M&A transactions. The ideal candidate will have over 6 years of experience in an in-house legal department or law firm, with a strong background in construction and infrastructure law. We are currently seeking a Legal Counsel (F/M) to join our legal department.

The successful candidate will be involved in developing, acquiring, implementing, and monitoring the execution of concession and other public infrastructure projects throughout their lifecycle. They will work within a multidisciplinary team dedicated to each project, collaborating with the business development, structured finance, and project management departments.

Your key responsibilities include:
  1. Managing legal aspects of public tenders and M&A transactions, including risk analysis, structuring, and negotiation of contractual arrangements such as concession agreements, consortium agreements, shareholders’ agreements, operation and maintenance contracts, and financing/security documentation; managing regulatory approval procedures (antitrust, foreign investment control, state aid, etc.).
  2. Providing legal advice related to a portfolio of infrastructure projects in construction and operation, throughout their lifecycle, including refinancing and dispute resolution.
  3. Selecting and managing external legal counsel.
  4. Contributing to legal knowledge management and supporting in-house training initiatives.
The profile we are looking for:
  • Master 2 or equivalent foreign law degree from France, preferably in business or public economic law, with excellent academic credentials.
  • At least 6 years of experience in an in-house legal department of an internationally active company or a major law firm, ideally in construction, real estate, energy, financing, or infrastructure operation.
  • Fluency in spoken and written English (C1-C2 level).
Highly beneficial qualifications include:
  • LLM or similar qualification from a reputable foreign law school.
  • Business or public administration degree.
  • Fluency in French and at least one additional foreign language, especially Spanish.
