One of the world-wide leading turnkey cable suppliers seeks a Legal Counsel to join our legal team at Nexans and help electrify the future.
Responsibilities :
- Support PWR-T Sales & Tendering team by drafting, reviewing, commenting on, and negotiating a wide range of contracts (letters of intent, MOU, preferred supplier agreements, partnership agreements, EPCI contracts, O&M agreements) to manage risks and ensure compliance with internal guidelines. Also, draft and negotiate consortium and subcontracts.
- Participate in the final review of all contractual and commercial documents prior to contract signing.
- Assist in the hand-over to the Project team for execution.
- Provide legal advice to the PWR-T Contract Management and Project Execution teams on contract execution matters, including warranties, financial securities, claims, and litigations.
- Support the incorporation and establishment of project companies and affiliates.
- Monitor disputes and litigation related to the project portfolio.
- Assist the PWR-T Purchasing Department with the negotiation of complex subcontracts and strategic procurements.
- Support PWR-T R&D activities by drafting and negotiating collaboration and development agreements.
- Promote best practices and legal culture, advising internal clients on legal issues, risks, agreement structures, and company policies.
- Create and update agreement templates and policies.
- Implement and monitor compliance policies (anti-bribery, conflict of interest, ethics, competition, anti-trust, GDPR) in collaboration with the Group Compliance Officer.
- Conduct internal training on compliance and risk management.
- Coordinate and supervise external law firms when necessary.
Requirements / Qualifications :
- Postgraduate degree in business law, ideally with dual qualification (Civil and Common Law) or strong knowledge of Common Law.
- At least 5 years' experience in a law firm and/or as in-house counsel, with knowledge of industrial, infrastructure, or renewable projects.
- Experience in cross-border project management and working in multicultural environments is desirable.
- Experience negotiating and drafting various commercial contracts, including complex turnkey EPCI projects, familiar with major construction contract forms such as FIDIC, NS, NF, NEC, etc., is a plus.
- Sound business judgment, ability to balance legal and business priorities, and articulate risks clearly.
- Ability to work in a fast-paced, dynamic environment with changing priorities.
- Customer-oriented with excellent collaboration skills.
- Willingness to handle tasks of varying sizes.
- Pragmatic with succinct legal advising skills and strong relationship-building abilities.
- Availability for occasional travel.
- Excellent English communication skills; CVs must be in English.
