Job Title: Lawyer - Debt Solutions Team

You join the Debt Solutions team as a lawyer. In this role, you will be responsible for advising on the front office of Natixis, located in France and internationally, and handling legal documentation related to:

1. Setting up and monitoring operations on structured financial instruments (bonds, EMTNs, warrants, certificates, whether collateralized or not), issued by the institution, its subsidiaries, or dedicated vehicles, within or outside its emission programs;
2. Providing expertise on the legal aspects of private placements and public offerings of securities primarily in Europe and Asia;
3. Advising and negotiating contracts related to the marketing and distribution of these securities;
4. Developing and updating Natixis, its subsidiaries, and issuing vehicles' structured debt issuance programs; and
5. Monitoring and contributing to the legal and regulatory work relevant to these securities.

Daily responsibilities include:

1. Managing upstream relationships with operators involved in designing operations, structuring new products, and sometimes underlying assets (e.g., owner index);
2. Developing and negotiating securities issuance documentation (bid documents, mandates, issuance documentation, etc.);
3. Developing models and participating in digital initiatives, especially automating documentation processes for programs; and
4. Monitoring applicable regulations and best practices.

• You have a degree in French business and financial law, or in English or US law, with at least 8 years of experience in debt securities;
• You are proficient in:
• The legal and regulatory environment related to issuing, offering, and placing financial securities in France and Luxembourg;
• The practices of national authorities in France and Luxembourg concerning structured debt securities;
• The rules for admitting financial securities to trading on regulated markets in France and Luxembourg.
