Job Description

You join the Debt Solutions team as a lawyer. In this context, you will be in charge of advising on the front office of Natixis, located in France and abroad, and legal documentation for:

  • Setting up and monitoring operations on structured financial instruments (bonds, EMTNs, warrants, certificates, whether or not collateralized), issued by the institution or its subsidiaries or dedicated vehicles, within or outside its emission programs;
  • Expertise in the legal aspects of private placements and public offerings of securities primarily in Europe and Asia;
  • Advising and negotiating contracts relating to the marketing and distribution of these securities;
  • The development and updating of Natixis and its subsidiaries and issuing vehicles structured debt issuance programs; and
  • Monitoring and contributing to the legal and regulatory work relevant to these securities.

On a daily basis, your tasks are:

  • Manage the upstream relationship with operators as part of the design of operations, the structuring of new products and sometimes the underlying (e.g. owner index);
  • Develop and negotiate securities issuance documentation (bid documents, mandates, issuance documentation...);
  • Develop models and participate in digital work, especially as part of the automation of the documentation of programs; and
  • Follow applicable regulations and place practices.

Required Skills/Qualifications/Experience

About you: If you recognize yourself in the following description, you are made to work with us!

You have a degree in French business and financial law, or in English or US law, and have at least 8 years of experience in the field of debt securities.

You are proficient in:

  • The legal and regulatory environment relating to the issuance, offering and placement of financial securities in France and Luxembourg;
  • Stock market law;
  • The practices of national authorities in France and Luxembourg when offering structured debt securities to the public;
  • The rules for admission of financial securities to trading on regulated markets in France and Luxembourg.

You have excellent relationship skills, a very good listening ability, and you are:

  • Curious;
  • Agile;
  • Pragmatic;
  • Organized.

You master English with a C1 level.
