To strengthen our Legal Department, we are seeking a passionate and dynamic Junior Corporate and Governance Lawyer.

Reporting to the Corporate & Governance Legal Team, you will handle various essential tasks for our group across France and internationally.

Your missions include:
  • Preparing legal documentation for five French subsidiaries (excluding listed companies) and reviewing corporate documentation for foreign group companies, in coordination with local lawyers and finance teams.
  • Participating in restructuring operations (high-level balance sheet).
  • Creating or liquidating companies in France and abroad.
  • Preparing the annual general meeting of Virbac SA.
  • Researching and drafting documentation for the listed company (minutes, corporate governance report, management report, etc.).
  • Conducting benchmarks in corporate law and governance.
  • Developing internal procedures on corporate law and governance.
  • Implementing, monitoring, and updating delegation of authority within the group.
  • Ensuring accurate updates of the group’s company databases.
  • Drafting, negotiating, and monitoring leases and domiciliation contracts for French entities.
  • Conducting legal and regulatory research to anticipate changes and ensure compliance.
  • Handling legal formalities such as filings, publications, signature certifications, apostilles, and translations.
Your profile:

You hold a Master 2 in Business Law / Corporate Law, ideally complemented by a law degree, LL.M, or dual education (business school, Sciences Po).

You have significant initial experience (internship, apprenticeship, or first job) in a law firm or within a legal department of an international group.

Technical skills:

  • Solid knowledge of corporate law and governance, and understanding of the responsibilities of legal entities and individuals.
  • Understanding of the regulatory environment for listed companies.
  • Knowledge of ESG issues and related regulations, including the CSRD directive.
  • Excellent writing skills in French and English, with strong oral communication abilities.

  • Autonomous and proactive, capable of managing files with rigor and anticipating needs.
  • Organized and meticulous, able to handle multiple projects and interact with various stakeholders while maintaining confidentiality.
  • Curious and creative, willing to take initiative and propose new ideas.
  • Team-oriented, easily integrates into teams and values collaboration.
  • Committed and efficient under tight deadlines.

Languages:

Fluent English (written and spoken) is essential for this international role.
