Job Title

What will be your role?

You will have main missions to (i) ensure the legal security of PROPARCO's corporate and banking financing operations across its various intervention zones (Africa, Asia, and Latin America) and (ii) play a role in regulatory, legislative, and case law analysis and capitalization.

These activities include:

• Legal structuring of financing operations (senior and subordinated loans, bonds, trade finance, guarantees);
• Drafting, reviewing, and negotiating contractual documentation related to these financings (financing agreement, issuance contract, guarantee agreement, security deeds, inter-creditor agreement);
• Participating in the instruction and structuring of projects funded by international institutions such as the European Union and negotiating related contractual documentation;
• Legal monitoring of PROPARCO's debt portfolio operations and restructurings;
• Providing support and advice to operational teams and, where appropriate, to PROPARCO's management regarding the above areas;
• Studying all legal questions related to the structuring and contractual setup of operations managed by the Corporate and Banking Financing division and their environment, as well as questions related to PROPARCO's legal and fiscal status in its intervention countries, with the support of local advisors;
• Monitoring and analyzing applicable national and international regulations;
• Organizing and leading legal training sessions;
• Contributing to the capitalization and dissemination of tools and legal best practices.

International missions are to be expected.

Who are we looking for?

1. Skills required:

Strong skills in financing law, private international law, corporate law, banking law, and litigation/restructuring are sought.

2. Personal and interpersonal qualities:

Required qualities include rigor, drafting and negotiation skills, relational and pedagogical abilities (especially with non-lawyers), autonomy, adaptability, innovation, problem-solving skills, teamwork, and reporting capabilities.

3. Education level / diploma / experience:

Master’s degree (Bac + 5 / M2), from a University or Grandes Ecoles, and a lawyer qualification (CAPA or equivalent abroad), with a minimum of 4 years of professional experience.

4. Languages:

Proficiency in legal English is essential. Spanish language skills are highly appreciated.
