Qualifications

  • 3 ans d'expérience dans un cabinet d'avocats international de premier plan.
  • Intérêt pour le droit de la concurrence et la digitalisation des processus juridiques.

Responsabilités

  • Participer à la négociation de contrats stratégiques au niveau du Groupe.

Description du poste

Reporting to the Legal Director, M&A and Financing, this role will be responsible for assisting the Legal Director, M&A and Financing as well as the Senior Legal Counsels of the team in all legal aspects of:

  • the Group’s M&A transactions (including all structuring efforts of the legal elements of complex transactions such as acquisitions, divestments, investments, restructurings and joint ventures);
  • the Group’s financing / refinancing efforts (in particular with respect to bonds issuances, credit agreements, share buyback programs, corporate reorganizations and any other strategic financing, treasury or tax operations); and
  • the Group’s strategic contracts.

The Legal Counsel M&A and Financing shall be required to develop excellent and integrated working relationships with other key functions of Pernod Ricard’s business to facilitate a smooth and professional delivery of M&A projects to the business.

Your key missions:

  • You will assist in all legal aspects of M&A transactions, including structuring, negotiation and signing / closing process.
  • You will assist in all legal aspects of the Group’s financing / refinancing efforts.
  • You will participate in the negotiation of strategic contracts at Group’s level.
  • You will assist in ad hoc strategic litigation related to M&A, financing and contracts at Group’s level.
  • More generally, you will actively participate in the team’s and HQ’s life and be involved in cross-functional projects.

Missions above shall be carried on under the supervision of the Senior Legal Counsels and / or the Legal Director of the team, while coordinating with, and supervising, external legal advisors.

Your key contacts will be with law firms, consulting firms, investment banks.

  • You have a degree (or post degree equivalent) in law, with excellent English, which could be demonstrated either by a degree at an English-speaking university, or by sufficient work experience in an international environment. Any other degree in finance / business is a real plus.
  • You have 3 years in the M&A department of a first-tier international law firm. Candidates with significant experience in the M&A department of a listed international group may also be considered.
  • You have interest and knowledge of antitrust / competition law matters AND / OR digitalisation of legal processes related to M&A would be well regarded.
  • You are fluent in English and French. Spanish would be a plus.
  • You have experienced negotiation sessions and signing / closing processes.
  • Flexible attitude, ability to respond to deadlines, prioritize as necessary and to work under pressure.
  • You are a team player.
  • You have excellent communication skills.
