Alvarez & Marsal's Paris-based SPA Services team seeks a Manager/Assistant Director to provide expert SPA advisory across EMEA. You will guide pre‑closing and post‑closing analyses, support negotiations, and comment on pricing mechanics and related accounting clauses for buyers and sellers.

Fluency in English and French, strong writing skills, and ICAEW/ACA/CPA or equivalent qualifications are highly preferred in this fast‑paced environment.

Qualifications

• Proven experience in SPA Advisory.
• Excellent writing and language ability to comment on SPAs.
• Excellent communication and interpersonal abilities.
• Ability to work in a fast-paced, dynamic environment.
• Strong academic record with ICAEW/ACA/CPA or equivalent.

Responsabilités

• Provide expert advice on the SPA before signing/closing, including pre-deal analysis, negotiation support, and completion mechanism memos.
• Advise on adjustments between Enterprise Value and Equity Value and craft arguments for buy/sell positions.
• Comment on pricing, representations, warranties, and accounting-related clauses in SPAs.
• Assist buyers/sellers post-closing with price adjustment mechanisms and related accounts.
