Following its spin-off and listing on Euronext Paris, Pluxee’s Corporate and Securities Legal Department seeks a Corporate Legal Counsel, reporting to the Head of Corporate & Securities Legal.

Based at the headquarters near Paris, you will support legal activities related to company law and strategic transactions, collaborating with various Group departments and the legal team, including:

1. Managing the housekeeping of Pluxee N.V. with external legal counsel support.
2. Ensuring compliance with obligations as a Netherlands-incorporated company listed on Euronext Paris and adhering to relevant financial regulations.
3. Assisting in preparing the Annual General Meeting of shareholders.
4. Drafting annual and market reports, and managing disclosure of regulated information.
5. Supporting structuring and implementation of incentive plans, share buyback programs, employee shareholding plans, and corporate reorganizations.
6. Preparing legal documentation for the Board of Directors and Committees, and for shareholder meetings.
7. Overseeing a portfolio of about 70 subsidiaries across 30 countries, including parent guarantees and delegation of authorities.
8. Managing policies, processes, guidelines, templates, training, and best practices in areas like corporate governance and contracts.
9. Participating in various legal department projects aligned with your skills and interests.

Requirements include:

1. Bachelor’s degree in law from a French university.
2. Over 5 years’ experience in a similar role within a listed international company, with good knowledge of stock exchange regulations.
3. Experience in cross-border reorganizations or M&A is a plus.
4. Fluent in English and French, both spoken and written.
5. Additional qualifications from Dutch or English-speaking countries, or proficiency in Dutch, are advantageous.
6. Ability to work autonomously, rigorously, and in an organized manner.
7. Strong interpersonal skills and ethical standards.
8. Enjoy working in a multicultural, fast-paced environment.
