Qualifications

• Expérience de plus de 5 ans dans un rôle similaire au sein d'une entreprise cotée.
• Connaissance des réglementations d'Euronext.
• Bilingue en anglais et en français.

Responsabilités

• Gérer la conformité pour Pluxee N.V., entreprise née aux Pays-Bas.
• Rédiger et examiner les documents légaux liés à la gouvernance d'entreprise.
• Participer à diverses missions juridiques en lien avec les compétences.

Your next challenge

Following its spin-off and listing on Euronext Paris, the Group's legal department is expanding. The Corporate and Securities Legal Department seeks to hire a Corporate Legal Counsel, reporting to the Head of Corporate & Securities Legal.

Main tasks:

1. Manage the housekeeping of Pluxee N.V., supported by outside legal counsels.
2. Ensure compliance with obligations as a Netherlands-incorporated company listed on Euronext Paris and other financial regulations.
3. Assist in preparing the Annual General Meeting of shareholders.
4. Draft and review annual and market reports, and disclose regulated information.
5. Support structuring and implementing long-term incentive plans, share buyback programs, employee shareholding, and legal reorganizations.
6. Prepare legal documentation for the Board of Directors, Committees, and Shareholders' Meetings.
7. Oversee subsidiaries, parent company guarantees, and delegation of authorities, using Dili Trust.
8. Manage policies, processes, guidelines, templates, and training related to corporate governance and compliance.
9. Participate in various legal missions aligned with your skills and interests.

Qualifications:

• Bachelor’s degree in law from a French university.
• Over 5 years’ experience in a similar role within a listed international company, with knowledge of Euronext regulations.
• Experience in cross-border reorganizations or M&A is a plus.
• Fluent in English and French, both spoken and written.
• Additional degree from a Dutch or English-speaking country, or proficiency in Dutch, is a plus.
• Ability to work independently, rigorously, and organized.
• Strong interpersonal skills, ethical standards, and team orientation.
• Experience working in a multinational environment.
