Position Overview

We are looking for a high-performing Corporate Legal Counsel to join our in-house legal team in Jersey. This is a key legal role within a fast-paced, international business involved in telecommunications, technology, and digital infrastructure, providing strategic and commercial legal support across the group.

The ideal candidate will have 4 to 6 years of post-qualification experience, with a strong corporate/M&A background gained at a top-tier UK or US law firm, and a desire to move into a dynamic, commercially focused in-house environment.

You will play a critical role in structuring and negotiating complex corporate transactions, managing regulatory risk, and advising on legal strategy across multiple jurisdictions.

Key Responsibilities

• Provide legal support on a broad range of corporate and commercial matters, including M&A, restructurings, and corporate governance
• Advise on group structuring and intercompany transactions
• Assist in the execution of cross-border transactions, working closely with finance, tax, and external advisors
• Draft, review, and negotiate corporate and transactional documentation with a clear, pragmatic, and risk-aware approach
• Support the company secretarial function on governance and compliance matters for entities across multiple jurisdictions
• Monitor and advise on regulatory and legal developments relevant to the group’s corporate activities
• Collaborate cross-functionally with legal, commercial, tax, and finance teams globally
• Instruct and manage external counsel as needed

Must Have

• Qualified lawyer in England & Wales, the US, or another common law jurisdiction
• 4–6 years’ PQE, with a solid foundation in corporate law, ideally including M&A, corporate structuring, and private equity
• Trained at a top-tier UK or US law firm; prior in-house or offshore experience is a plus
• Strong technical skills, attention to detail, and the ability to provide clear, business-oriented advice
• Commercial mindset with the confidence to work directly with senior business stakeholders
• Able to manage multiple priorities and work autonomously in a fast-moving environment
• Excellent negotiation, drafting, and communication skills
• Able to manage complex legal issues independently while working collaboratively in an international environment
• Detail orientated, organised, and able to prioritise competing demands effectively to deliver outstanding client outcomes

Nice to Have

• Experience with Dutch corporate law
• Exposure to IP law or telecom regulatory frameworks
• Fluency in French, Spanish, or other European languages
• A passion for technology and digital innovation
