Responsabilités

• Gérer le suivi légal de Pluxee N.V. avec le soutien de conseillers légaux externes.
• Préparer les rapports annuels et gérer la divulgation des informations réglementées.
• Structurer des plans d'incitation à long terme et d'autres réorganisations légales.

Your next challenge

Following our spin-off and listing on Euronext Paris, our Corporate and Securities Legal Department is seeking a Corporate Legal Counsel based near Paris. Reporting to the Head of Corporate & Securities Legal, your responsibilities include:

1. Managing the legal housekeeping of Pluxee N.V. with external legal counsel support.
2. Ensuring compliance with obligations as a Dutch-incorporated company listed on Euronext Paris and adhering to financial regulations in various countries.
3. Preparing for the Annual General Meeting of shareholders.
4. Drafting annual and market reports, and managing the disclosure of regulated information.
5. Structuring and implementing long-term incentive plans, share buyback programs, employee shareholding plans, and other legal reorganizations.
6. Preparing legal documentation for the Board of Directors, Committees, and Shareholders' Meetings.
7. Overseeing subsidiaries, parent company guarantees, and delegation of authorities across approximately 30 countries.
8. Managing policies, processes, guidelines, templates, and training on corporate governance and compliance topics.
9. Supporting various legal department initiatives aligned with your skills and interests.

Qualifications

• Bachelor’s degree in law from a French university.
• Over 5 years of experience in a similar role within an international listed company, with knowledge of Euronext regulations.
• Experience in cross-border reorganizations or M&A is a plus.
• Fluent in English and French, both spoken and written.
• Additional degree from a Dutch or English-speaking university, or proficiency in Dutch, is advantageous.
• Organized, autonomous, and rigorous work style.
• Strong interpersonal skills and high ethical standards.
• Ability to thrive in a multicultural environment.
