Your next challenge

Following Pluxee’s spin-off and listing on Euronext Paris, the Group’s legal department seeks a Corporate Legal Counsel to report to the Head of Corporate & Securities Legal. Based at the headquarters near Paris, you will support legal structuring, drafting, advising, and monitoring in company law and strategic transactions, collaborating with various Group departments.

• Manage the housekeeping of Pluxee N.V. with outside legal counsel support.
• Ensure compliance with obligations as a Netherlands-incorporated company listed on Euronext Paris.
• Assist with preparing the Annual General Meeting of shareholders.
• Draft annual and market reports and disclose regulated information.
• Contribute to structuring and implementing incentive plans, share buyback programs, and legal reorganizations.
• Prepare legal documentation for the Board of Directors and Committees, and for shareholder meetings.
• Oversee a portfolio of ~70 subsidiaries in ~30 countries, including parent guarantees and delegations of authority.
• Manage policies, processes, guidelines, templates, and training on corporate governance and compliance topics.
• Participate in various legal department missions based on your skills and interests.

Requirements:

• Bachelor’s degree in law from a French university.
• Over 5 years’ experience in a similar role within a listed international company, with knowledge of Euronext regulations.
• Experience in cross-border reorganizations or M&A is a plus.
• Fluent in English and French; Dutch or additional degrees from Dutch or English-speaking universities are a plus.
• Rigorous, autonomous, organized, with strong interpersonal skills.
• Team-oriented, ethical, and capable of working in a multinational environment.
