Un leader de l'industrie musicale recherche un avocat spécialisé en acquisitions de catalogues pour soutenir l'équipe dans la mise en œuvre de sa stratégie d'acquisition. Vous serez responsable de la gestion des aspects juridiques liés aux acquisitions, de la négociation de contrats, à la gestion de la due diligence, et contribuerez à la structure contractuelle pour favoriser l'efficacité et la vitesse des transactions. Le candidat idéal aura une solide formation en droit et une expérience substantielle dans le domaine des droits de propriété intellectuelle.

Qualifications

  • Master en droit des affaires requis.
  • 3 à 5 ans d'expérience en droit, de préférence en IP.
  • Capacité à résoudre des problèmes avec un bon esprit d’analyse.

Responsabilités

Description du poste

Under the responsibility of the VP Small Catalogue Acquisition and with a dotted line to the Group Senior M&A Lawyer, the Catalog Acquisition Lawyer will support the newly created business team in implementing the group's small catalogue acquisition strategy by:

  1. Managing all legal aspects of the catalogue acquisition processes.
  2. Streamlining contractualization and due diligence processes to support scale.

Responsibilities include:

  • Providing expert legal support throughout the catalog acquisition process to ensure efficient transaction execution.
  • Overseeing legal due diligence, focusing on intellectual property (IP) and content rights issues, and coordinating internal and external resources.
  • Drafting, negotiating, and reviewing contracts and legal documents related to catalog acquisitions, such as non-binding offers, confidentiality agreements, asset purchase agreements (including IP warranties), and ancillary documents.
  • Assisting with closing, post-closing management, warranty claims, and litigation.
  • Developing catalog acquisition contract templates to enhance speed, scalability, and cost efficiency while mitigating risks.
  • Building and formalizing local IP law intelligence to increase transaction volumes globally.

Qualifications:

  • Master's degree in business law; combined expertise in M&A and IP is a strong plus.
  • 3 to 5 years of experience in law firms or as in-house counsel, with a proven record in IP/content rights transactions.
  • Problem-solving mindset with strong interest in corporate law and transactional dynamics.
  • Excellent analytical, negotiation, and communication skills, with the ability to influence and collaborate effectively.
  • Fluent in French and English, both spoken and written.
