Under the responsibility of the VP Small Catalogue Acquisition and with a dotted line to the Group Senior M&A Lawyer, the Catalog Acquisition Lawyer will support the newly created business team in implementing the Group's small catalogue acquisition strategy by:
- Managing all legal aspects of the catalogue acquisitions process.
- Streamlining contractualization and due diligence processes to support scaling.
Responsibilities:
- Provide expert legal support throughout the catalog acquisition process to ensure efficient transaction execution.
- Oversee legal due diligence, focusing on intellectual property (IP) and content rights issues, coordinating internal and external resources.
- Draft, negotiate, and review contracts and legal documents related to catalog acquisitions, including non-binding offers, confidentiality agreements, asset purchase agreements with IP representations and warranties, and ancillary documents.
- Assist in closing and post-closing activities such as warranty claims, M&A litigation, etc.
- Develop and structure catalog acquisition contract templates to enhance speed of execution, scalability, and cost efficiency while mitigating risks.
- Build and formalize local IP law intelligence for key markets to support increased transaction volumes globally.
Qualifications:
- Master's degree in business law; expertise in M&A and IP is a strong plus.
- 3 to 5 years of experience in law firms and/or as in-house counsel with a proven record in IP/content rights transactions.
- Problem-solving mindset with strong interest in corporate law and transactional dynamics.
- Excellent analytical, negotiation, and communication skills, with the ability to influence and collaborate effectively.
- Fluent in French and English, both spoken and written.
