Under the responsibility of the VP Small Catalogue Acquisition and with a dotted line to the Group Senior M&A Lawyer, the Catalog Acquisition Lawyer will be responsible for supporting the newly created business team in rolling out the group's small catalogue acquisition strategy by:
- Managing all legal aspects of the catalogue acquisitions processes.
- Streamlining contractualization and due diligence processes to support scale.
Key responsibilities include:
- Providing expert legal support throughout the catalogue acquisition process to ensure efficient transaction execution.
- Overseeing legal due diligence, with a focus on intellectual property (IP) and content rights, coordinating internal and external resources.
- Drafting, negotiating, and reviewing all contracts and legal documents related to catalogue acquisitions, such as non-binding offers, confidentiality agreements, asset purchase agreements including IP representations and warranties, and ancillary documentation.
- Assisting in closing and post-closing activities, including warranty claims, M&A litigation, etc.
- Structuring catalogue acquisition contract templates to facilitate quick execution, scalability, and cost optimization while mitigating risks.
- Building and formalizing local IP law intelligence in key markets to support increased transaction volumes and global acceleration.
Qualifications:
- Master's degree in business law; combined expertise in M&A and IP is a strong plus.
- 3 to 5 years of experience in law firms and/or as in-house counsel, with a proven track record in IP/content rights transactions.
- Problem-solving mindset with strong interest in corporate law and transactional dynamics.
- Excellent analytical, negotiation, and communication skills, with the ability to influence and collaborate effectively with stakeholders.
- Fluent in French and English, both spoken and written.
