Qualifications

• Plus de 5 ans d'expérience dans un rôle similaire dans un environnement international.
• Fluent en anglais et français, à l'oral comme à l'écrit.
• Expérience en réorganisations transfrontalières ou M&A est un plus.

• Gérer la conformité des obligations légales dans un environnement multinational.

Your next challenge: In light of the growth of the Group's legal department following Pluxee’s spin-off and listing on Euronext Paris, the Corporate and Securities Legal Department seeks a Corporate Legal Counsel. Reporting to the Head of Corporate & Securities Legal Department, based at the headquarters near Paris, your responsibilities will include:

1. Managing the housekeeping of Pluxee N.V. with support from outside legal counsels.
2. Ensuring compliance with obligations as a Netherlands-incorporated company listed on Euronext Paris and other financial regulations.
3. Preparing for the Annual General Meeting of shareholders.
4. Drafting annual and market reports and managing the disclosure of regulated information.
5. Structuring and implementing long-term incentive plans, share buyback programs, employee shareholding plans, and corporate reorganizations.
6. Preparing legal documentation for the Board of Directors and Committees, and for Shareholders Meetings.
7. Overseeing a portfolio of approximately 70 subsidiaries across 30 countries, including managing Parent Company Guarantees and Delegations of Authorities.
8. Managing policies, processes, guidelines, templates, trainings, and best practices related to insider trading, corporate governance, and contracts.
9. Supporting various legal missions aligned with your skills and development goals.

Qualifications:

• Bachelor’s degree in law from a French university.
• Over 5 years’ experience in a similar role within a corporate international environment, preferably with listed companies on Euronext.
• Experience in cross-border reorganizations or M&A is a plus.
• Fluent in English and French, both spoken and written.
• Additional degrees or proficiency in Dutch are advantageous.
• Ability to work independently, rigorously, and organized.
• Strong interpersonal skills, ethical standards, and team spirit.
• Ability to operate effectively in a multinational environment.
