L'Agence Française de Développement recherche un expert juridique pour rejoindre l'équipe de financement opérationnel. Vous serez responsable de la structuration et de la négociation des opérations de financement tout en offrant un soutien juridique aux équipes opérationnelles. Une forte expertise en droit commercial et bancaire, ainsi qu'une maîtrise de l'anglais, sont requises.

Qualifications

• Expérience antérieure dans une institution financière ou un cabinet d'avocats, idéalement dans un contexte international.
• Connaissance des financements de projets est un plus.

Responsabilités

• Structurer et négocier des opérations de financement.
• Analyser et réviser divers contrats liés aux opérations de financement.
• Suivre et analyser les réglementations nationales et internationales.

JOB TITLE

What will be your role?

CDD starting from 1/09/2025 to 31/07/2026

The role of the legal expert within the JOF division includes:

1. Structuring and negotiating financing operations, which involves:

• Participating in the legal setup and structuring of operations at all stages of the project cycle;
• Negotiating and drafting, or supervising the drafting of, various acts to be concluded by AFD within financing frameworks (financing agreements, security acts, inter-creditor agreements, etc.);
• Analyzing and reviewing various contracts related to financing operations (confidentiality agreements, reinsurance agreements, project documents such as concession contracts, service contracts, joint venture agreements, shareholder agreements, transfer of shares/parts, technical assistance contracts, etc.);
• Providing expert support and advice to operational teams and senior management in this field.

1. Studying all legal issues related to the design, organization, and functioning of projects, and more generally the various issues concerning AFD;

1. Monitoring and analyzing applicable national and international regulations affecting AFD and its partners (States, companies, local authorities, financial institutions, NGOs, etc.) in the context of financing operations;

1. Contributing to the monitoring of restructurings related to financing operations;

1. Providing legal training and participating in the capitalization and dissemination of tools and best legal practices;

1. Participating in reporting to alert management about various legal risks.

Who are we looking for?

1. Skills required

• Strong knowledge in business law, contract law, security rights and guarantees, credit law, international banking law, or regulations of the countries within AFD's intervention zone;
• Successful initial experience in missions within a financial institution, company, or law firm, ideally in an international context. Knowledge in finance/project funding is a plus;
• Strong drafting and contractual negotiation skills;
• Fluent in English; proficiency in Spanish is desirable.

• Good interpersonal and pedagogical skills, especially towards non-lawyers; adaptable and proficient in reporting.

1. Educational background/diploma

• Master's degree (Master 2) from a university or grande école, lawyer (CAPA). Foreign diplomas or business school degrees are a plus.

Which team will you join?

The operational financing legal team (JOF) is one of two divisions within AFD's legal department. Its mission is to structure, draft, and negotiate AFD's financing operations, and to monitor, forecast, and capitalize on the legal environment, both French and international. The division comprises a manager, deputy manager, and 17 mission-oriented legal experts.
