We are currently looking for a corporate officer to work in the Luxembourg Real Assets Team as part of the corporate secretarial function. This is a tremendous opportunity for someone with good project management skills and good knowledge of the real estate funds industry looking to develop their skills further. The position is very much client facing and will involve client meetings. Additionally, the position will involve a high level of interaction and co-ordination with other functional areas within Apex Group. The successful candidate will report to the Assistant Corporate Manager - Real Assets.
Job Specification:
- Coordinate and attend board and shareholder meetings;
- Liaising with registration and regulatory authorities, where applicable;
- Monitor the serviced entities regulatory filings calendar and set up mechanism to ensure the entities are compliant with such regulations;
- Provide guidance on Corporate Governance best practices;
- Liaise with internal groups including operations, accounting, compliance, etc. on relevant matters;
- Handling other ad-hoc compliance-related projects that may be assigned from time to time;
- The corporate officer will be responsible for the coordination of onboarding and integration of all new structures, funds, carried interest vehicles, co-investment vehicles and SPVs;
- Handling and critical reading of Funds Flow, IC Memo, TP Study, Tax Memo and transactional documents pertaining to new investments;
- Transaction management - the candidate will be expected to monitor new transactions and co-ordinate with the various functional teams in various jurisdictions where new structures, funds and SPVs are being set-up;
- The corporate officer will be expected to provide regular status updates of all new entities. Daily project calls to be held with stakeholders and project plans should be maintained to track progress. This will also include client calls with the dedicated CRM;
- Coordinate internal functions to onboard new entities, including all Service Delivery Teams, Sales, Legal, Compliance, Risk and Technology teams to ensure all new launches are successfully project managed and delivery of exceptional client experience;
- Handling communication with AIFM, client’s portfolio management deal team, lawyers and Depositary;
- Ensure that a global operating model is in place for specific client groups;
- Act as an escalation point for transaction related issues;
- Bank account opening applications;
- Custody and Safekeeping account opening applications;
- Review of bank payment instructions pertaining to transactions;
- Review of offering documentation from a corporate governance perspective;
- Assist in the production of the new business report and other KPIs / management reports as required;
- Promote a risk management culture within the business by proactively highlighting areas where improvements can be made to reduce operational risk;
- Reviewing and reporting on the timely completion of task monitoring checklists;
- Key tasks will include coordination of new entities (KYC), creation/incorporation/registration of new entities, bank account openings, GIIN applications, LEI applications, ISIN applications, review and negotiation of funds offering documentation and legal agreements, internal system set ups, and project planning;
- The corporate officer will also assist in the production of the new business report and other KPIs / management reports as required.
Skills Required:
- A minimum of 5 years of experience within the investment funds industry;
- Must have an excellent knowledge of the real estate funds industry and experience working on different fund structures primarily used for real estate (primarily Luxembourg) and regulatory requirements.
- Experience/knowledge of Depositary & AIFM functions.
- Should have strong attention to detail and excellent communication skills. The candidate must be able to work on his/her own initiative.
- Strong Project management skills.
- Knowledge of Yardi, Investran, Advent Geneva, Mantra, Paxus, eFront and other accounting or investor services systems an advantage.
