Reporting to the Africa & Middle East General Counsel, the role will involve the following:
- Management of corporate governance for Africa & Middle East companies: monitor and advise on recommendations for compliance with corporate governance to ensure all relevant legal and statutory requirements are met.
- Implementing Group procedures related to governance (legal representatives, appointment, delegation of authorities, intellectual property rules), continuous improvement, and innovative best practices in governance.
- Drafting and vetting corporate resolutions for board meetings, committees, annual general meetings, and circular resolutions; follow-up on action points.
- Assist in creation, incorporation, and dissolutions of corporate bodies in the region, including drafting or reviewing articles of association, shareholders agreements, sale or purchase of shares agreements.
- Lodge required corporate forms and annual returns with appropriate departments.
- Manage changes of directors, registered offices, increase of capital, and general company secretariat functions.
- Prepare and submit required corporate filings. Assist supervising attorneys with creation and dissolution of corporate entities.
- Keep corporate entity registrations updated with governmental authorities.
- Maintain up-to-date group digital tools for recording corporate information.
- Liaise with external governmental authorities, regulators, advisers, lawyers, and notaries.
Qualifications:
Masters degree in Law or equivalent; knowledge of the common law system is preferable.
Experience and skills:
- At least 5 to 10 years of experience in a corporate department or as a company secretary.
- Effective delivery of top-quality corporate legal expertise.
- Professional command of legal French and legal English (spoken and written), with ability to translate both.
- Hands-on, detail-oriented, and able to operate in a lean environment.
- Uphold ethical standards of the legal profession.
- Team-oriented with ability to work well in cross-functional teams.
- Proficient in personal computers, databases, word processing, spreadsheets, legal research, and library applications.
