Job summary

UPM is seeking a Governance professional to support its Legal Function. You will coordinate Board meetings, assist governance reporting and maintain registers. You will handle subsidiary governance activities and support digitalization of governance processes.

Strong organizational skills, initiative, and integrity are essential, with fluency in English and Finnish. The role reports to Senior Manager, Governance in Helsinki.

Qualifications

• A relevant University of Applied Sciences degree in law, business administration, corporate governance, or similar.
• Several years of work experience in corporate governance; listed company experience is a plus.
• Experience in corporate governance, legal operations, board or executive support.
• Knowledge of regulations, corporate decision-making and governance practices.
• Ability to take initiative and work independently while engaging stakeholders.
• Ability to handle confidential matters with discretion.
• Excellent problem-solving, service-minded and high integrity.
• Knowledge of Nasdaq Boardvantage is an asset.
• Proficient in English and Finnish communications.
• Strong organizational and coordination skills.

Responsibilities

• Coordinate and support Board of Directors and committee meetings.
• Support governance reporting such as Corporate Governance Statement and Remuneration Report.
• Support insider processes and maintain registers.
• Assist planning and execution of general meetings and related documents.
• Update governance-related webpages and maintain records.
• Coordinate subsidiary governance activities and filings.
• Administer governance tools, repositories, and portals with proper access and retention.
• Handle governance inquiries with internal stakeholders.
• Contribute to continuous improvement and digitization of governance processes.
