UPM is seeking a Legal Specialist to join the Governance Team in Helsinki. You will support corporate governance agendas and collaborate across the Legal Function to advance governance matters and processes.

The role emphasizes initiative, confidentiality, and service-minded collaboration within a small, committed team. Strong English and Finnish communication and the ability to manage multiple stakeholders are essential.

Qualifications

Responsibilities

• Support preparation of Board of Directors meetings and committees.
• Assist governance reporting (Corporate Governance Statement, Remuneration Report).
• Maintain governance registers and insider processes.
• Coordinate general meetings and related documentation.
• Update governance webpages and records.
• Oversee subsidiary governance activities and filings.
• Manage governance tools, document repositories and portals.
• Collaborate with internal stakeholders to drive process improvements.

We are now looking for a Legal Specialist to support our Governance Team of the Legal Function. The position is located in Helsinki, Finland.

What you will do

You will be a key contributor to corporate governance matters, supporting UPM’s Legal Function.

• Coordinate and support the preparation of meetings of the Board of Directors and its committees
• Support governance reporting such as Corporate Governance Statement and Remuneration Report
• Support the insider processes and maintain registers
• Support the planning and execution of the general meetings, including documentation
• Update governance-related webpage
• Maintain statutory corporate records, governance documentation, registers and authorizations
• Coordinate subsidiary governance activities, such as board and shareholder resolutions and their filings
• Administer governance tools, document repositories and meeting portals, ensuring appropriate access, and data retention
• Coordinate governance enquiries in cooperation with relevant internal stakeholdersContribute to the continuous improvement and digitalization of governance processes

Who you are

• You have a relevant degree in University of Applied Sciences (for example, in law, business administration, corporate governance, or other similar education)
• You have several years of work experience in corporate governance, and experience from a listed company is considered an asset
• You have experience and knowledge in corporate governance, legal operations, board or executive support. Experience in subsidiary governance is an advantage
• You have an understanding of relevant regulations, corporate decision‑making, and governance practices
• You are able to take initiative and ownership while working independently as well as engaging with different stakeholders
• You are able to work under pressure at times and handle a wide variety of activities and confidential matters with discretion
• You have excellent problem‑solving skills, a service‑oriented and diligent mindset, and a high level of integrity
• Knowledge of the Nasdaq Boardvantage tool is an asset
• You have excellent verbal and written communication skills in English and Finnish
• You have strong organizational and coordination skills, with the ability to manage multiple timelines and stakeholders simultaneously
• You pay close attention to detail, integrity and have a strong sense of confidentiality
• You are curious and willing to develop processes, learn new systems and adapt to changing requirements. You are also proactive, service‑mindful and have a can‑do attitude
