Formación

• Mínimo 6 años de experiencia en banca de inversión y M&A.

Vice President Role at TH Global Capital

Requirements:

1. At least 6 years of relevant Investment Banking / sell side M&A experience.
2. Must have business proficiency in English and Spanish (written and spoken) with a demonstrated ability to conduct business transactions in Spanish.
3. Ability to originate and lead transaction execution on 4 / 5 deals at a time with a focus on sell side mandates.
4. Ability to manage multiple deal teams, and transactions end-to-end including the preparation of Information Memorandums and financial models, participate in management / buyer meetings, negotiate offers, manage the due diligence and transaction documentation process. Adopt and improve TH processes and best practices.
5. Strong relationships with PE / VC funds and fundraising experience would be an asset.
6. Strong communication skills & understanding of corporate finance.
7. Proficiency in financial modelling & valuation techniques.
8. Experience with preparation of Information Memorandums.
9. Ability to multi-task and execute multiple mandates with minimal supervision.
10. Ability to negotiate offers, deal structures, transaction documents (and key issues) and all elements of a deal consideration in an M&A and Fundraising process.
11. Team player & ability to work in a globally dispersed team.
12. Flexibility to travel across Europe.

Responsibilities:

1. Responsible to execute transactions end to end including the preparation of Pitches, Information Memorandums and Financial Models.
2. Doing target and acquirer screening.
3. Participate in management / buyer meetings, handle Q&As and negotiate offers.
4. Assistance in drafting and evaluating various legal documents like NDAs, etc.
5. Facilitation of buyer and seller interactions (organizing road shows, conference calls, etc.).
6. Manage the due diligence and transaction documentation process.
