Descripción del empleo

As a Corporate Legal Counsel (3-5 yrs), you will oversee corporate governance for Skuad's existing and new entities in the European region in managing the corporate portfolio. You will work closely with the Employment Counsel, HR, and other key stakeholders to ensure compliance with local and EU laws, mitigate risks, and align legal strategies with business goals.

What will you do?

1. Maintain up to date registers and org. chart for all entities.
2. Manage corporate documentation (charter, articles of association, bylaws etc.) and capital related matters (capital changes, injection of funds, etc.).
3. Maintenance of statutory registers and records.
4. Track and ensure compliance with applicable corporate legal and regulatory requirements, including periodic corporate filings (director changes, share transfers, capital increase, etc.) and annual reports.
5. Tracking and renewal of business licenses, permits and other registrations.
6. Support establishment and dissolution of entities globally.
7. Ensure intercompany agreements are in place.
8. Provide support and guidance to the board of directors, including preparing materials for board meetings, drafting resolutions, and advising on governance best practices.
9. Oversee relationships with local service providers (corporate secretary service).
10. Work closely with internal stakeholders (e.g. HR, finance, compliance) to ensure legal matters are aligned with the company’s objectives.
11. Collaborate with global legal teams to ensure consistent corporate legal practices across jurisdictions.

2. Language Proficiency: Excellent communication skills in English.
3. Expertise in Corporate Law: Proven experience in corporate law, particularly for private limited liability companies.
4. Experience in Corporate Governance: 6+ years of experience in an international setting, with a focus on legal entity governance and regulatory reporting for European entities.
5. Cross-border Communication: Strong experience in liaising with foreign stakeholders and navigating multi-jurisdictional environments.
6. Multi-National Exposure: Experience working in large-scale businesses or multinational corporations.
