HappyRobot is seeking a seasoned Legal Counsel to safeguard IP and negotiate commercial agreements as the company scales its AI-driven platform. You will advise cross-functionally on data privacy, licensing, and vendor relations, shaping scalable contracting processes.

You will work with product, engineering, sales, and operations to align legal risk with business growth while maintaining pragmatic, business-focused guidance within a fast-paced startup culture in Madrid or remote-friendly setup.

Formación

• Admitted to and in good standing with the bar of at least one EU country.
• 6+ years of relevant legal experience in startups/tech.
• Strong experience drafting, reviewing, and negotiating SaaS, MSAs, NDAs, DPAs and other contracts.
• Solid understanding of GDPR and EU privacy laws.
• Experience handling IP matters including trademarks, patents, copyright.
• Excellent drafting, negotiation, and communication skills with business focus.
• Ability to balance legal risk with business priorities.

Responsabilidades

• Draft, review, and negotiate a wide range of commercial agreements (SaaS, MSAs, enterprise, NDAs, DPAs).
• Advise on commercial, IP, and data privacy matters across product, partnerships, and operations.
• Review DPAs and ensure compliance with EU data privacy regulations.
• Support IP strategy including trademarks, patents, copyright and IP ownership.
• Assist with IP diligence, OSS compliance, and IP assignment for employees/contractors.
• Develop templates, playbooks, and scalable contracting workflows to boost efficiency.
• Provide pragmatic legal advice balancing risk and commercial goals.
• Monitor regulatory developments affecting SaaS, IP, and data privacy.
• Support fundraising, due diligence, and strategic corporate initiatives.
• Manage external counsel when specialized help is required.
