Job description

We at PRONOVIAS GROUP, are looking for a passionate,



engaging, delivery-focused corporate and commercial lawyer to join the Pronovias Group inhouse legal team. The team is based in Barcelona and provides service to all jurisdictions and regional hubs, working closing with key business decision-makers. The legal team plays a pivotal and highly-visible role in empowering and supporting Pronovias Group to deliver success.

We are looking for a lawyer with 5-8 years PQE in a law firm in an international environment.

**Main tasks will be**:
**Corporate governance**:
Management of companies portfolio, including but not limiting to, drafting of minutes of meetings, update registers, powers of attorney, corporate books, and any task related with the maintenance of the companies.

Drafting of corporate documents in coordination with notaries and commercial registry.

Management of companies in foreign jurisdictions, liaising with external counsels.

Support to auditors during the audit review.

**Compliance**:
Manage the drafting of ESG/sustainability report (also known as non-financial yearly reporting)





Provide support to the relevant compliance committees (GDPR/Ethic’s Committee/Audit Committee)

Implement and monitor policies and procedures for the legal compliance program of the Group

Monitor privacy regulation and Company’s compliance with the GDPR requirements.

**Commercial**:
Drafting, reviewing and negotiating contracts of all types, such as general trading terms, agency agreements, franchise agreements, license agreements, services agreements, distribution agreements, IT agreements, commercial lease agreements;
Provide legal advice and support to retail and wholesale departments;
Involvement in projects ensuring that material risks are identified and offering solutions on how best to manage and mitigate the identified risks;
**Requirements**:
Counsel qualified to practice in Spain,



with 5-8 years of post-qualification experience, of which at least 5 years in law firm.

Professional knowledge of Spanish and English, any additional European language will be considered.

A highly organised, meticulous, diligent person with attention to detail.

A team player able to work effectively and collaboratively with the whole team.
