BVGroup in Gibraltar is seeking a Senior Legal Counsel to support the legal team across commercial, regulatory and strategic matters, with a focus on B2B and SaaS initiatives. The role is on-site in Gibraltar five days a week, with relocation support available.

You will draft and negotiate complex SaaS agreements, advise on corporate restructuring, and provide practical, business-minded legal guidance to both B2B and B2C units.

Formación

• Qualified lawyer in UK, Gibraltar or EU with post-qualification experience.
• Significant experience drafting and negotiating technology, software licensing and SaaS agreements.
• Strong commercial drafting and contract negotiation skills; able to lead complex negotiations.
• Experience supporting strategic commercial projects and working cross-functionally with Product, Technology, Commercial and Finance teams.
• In-house experience in a technology-led, SaaS, B2B or other fast-paced commercial business.

Responsabilidades

• Lead the drafting, reviewing and negotiation of complex SaaS, software licensing, technology services, reseller, referral, partnership and other B2B commercial agreements.
• Provide legal support for SaaS strategy, including the commercialisation and licensing of proprietary technology and platforms.
• Develop and maintain scalable contracting processes, template agreements, guidance materials and legal playbooks for B2B and SaaS activities.
• Drafting, reviewing and negotiating a wide range of commercial agreements to support the B2C business, including service, software licensing, marketing, referral, sponsorship, data processing, confidentiality and other commercial agreements.
• Providing day-to-day legal support to the B2C business across a broad range of commercial and operational matters.
• Preparing and coordinating relevant Board, shareholder and corporate approvals.
• Managing and supporting disputes, claims and litigation matters, including working with external counsel where appropriate.
• Supporting policy development, audits and legal training initiatives.
• Contributing to Legal team processes, knowledge sharing and the development of more junior colleagues where appropriate.
• Advising on intra-group arrangements, business transfers, corporate restructuring and cross-border corporate matters.
• Supporting on strategic projects and other legal work required to implement SaaS strategy and B2B operating model.

Purpose Of The Role

As the Senior Legal Counsel you will support the Legal team across a broad range of commercial, corporate, regulatory and strategic matters, with a particular focus on B2B and SaaS initiatives, while also providing legal support to the wider B2C business as part of the Legal team’s day-to-day activities.

Whilst playing a key role in supporting the commercialisation and licensing of proprietary technology platforms, negotiating complex technology and SaaS agreements, and advising on corporate restructuring and other legal matters, you will also support the SaaS strategy and wider business objectives. You will work closely with senior stakeholders across the business and provide practical, commercially focused legal advice across both B2B and B2C activities.

Key Responsibilities

• Leading the drafting, reviewing and negotiation of complex SaaS, software licensing, technology services, reseller, referral, partnership and other B2B commercial agreements.
• Providing legal support for SaaS strategy, including the commercialisation and licensing of proprietary technology and platforms.

Essential Skills & Experience

• Qualified lawyer in the UK, Gibraltar or an EU jurisdiction with relevant post-qualification experience.
• B2B commercial legal experience, including significant experience drafting and negotiating technology, software licensing and SaaS agreements.
• Strong commercial drafting and contract negotiation skills, with the ability to lead complex negotiations independently.
• Experience supporting strategic commercial projects and working cross-functionally with Product, Technology, Commercial and Finance teams.
• Strong stakeholder management skills and confidence advising senior stakeholders.
• Prior in-house legal experience in a technology-led, SaaS, B2B or other fast-paced commercial business.
• Experience supporting corporate restructurings, group reorganisations or other strategic corporate projects
• Strong commercial judgement, with the ability to balance legal risk with business objectives and provide practical, solutions-focused advice.
