AYESA ENGINEERING in Spain seeks a Senior Legal Counsel to support our growing international operations across more than 15 countries. You will provide expert corporate and commercial counsel, participate in restructurings and M&A, and draft and negotiate a wide range of agreements while coordinating with external advisors.

You will act as Secretary to Boards of Directors, lead a small legal team of 3-4 lawyers, and help strengthen corporate governance.

Formación

• Law degree (LL.B. or equivalent) and 8-10 years in corporate and commercial law.
• Experience with corporate restructurings, M&A, and working across multiple jurisdictions.
• Experience in leading a legal team and coordinating with external advisors.

Responsabilidades

• Provide ongoing legal advice on corporate and commercial law matters.
• Participate in corporate restructurings and group reorganizations.
• Act as Secretary to Boards of Directors and support governance activities.
• Draft, review, negotiate, and manage a wide range of commercial agreements.
• Participate in corporate transactions and M&A deals, including due diligence and SPAs.
• Coordinate with external legal advisors and support different business areas across the Group.
• Lead, coordinate, and manage a team of 3-4 lawyers.
