Formación

  • 6-7 años de experiencia en M&A o Finanzas Corporativas en el sector de seguros.

The M&A Manager will be part of the Corporate Finance department and will be responsible for the strategic assessment and execution of the transactions in his perimeter, with a high degree of autonomy expected in the execution. He will have a large autonomy on transactions delegated to International Markets CEO and will coordinate the regional support & governance for larger transactions led by AXA Group Corporate Finance (DCFG). Furthermore, it will also be responsible for the monitoring of capital management activities.

MAIN RESPONSABILITIES
  1. External growth project sourcing & strategic alignment: Support local teams in sourcing & assessing new M&A opportunities, in line with the AXA Group strategy, and the priorities of the International Markets and AXA Group top management.
  2. Ensure the quality of the strategic analysis, with Strategy Group (GCD) and DCFG teams, in the Quick Screen.
  3. Manage the M&A activity for the IM perimeter.
  4. Lead the execution of M&A files delegated to the IM teams (business plan preparation, due diligence leadership & coordination, internal and external stakeholders’ management, offer proposals & governance, co-lead contractual negotiation with legal teams).
  5. Support DCFG & coordinate the eventual support of IM teams (eg. in due diligence phases) in larger M&A projects.
  6. Help IM top management ensuring appropriate challenge to DCFG, including in the validation of the BP & financial offers.
  7. Lead the Business Plan preparation and subsequent valuation of the target.
  8. Coordination and lead of the due-diligence exercise, ensuring appropriate input from AXA IM stakeholders (local and central teams), as well as external advisors (actuarial, financial, tax, etc.).
  9. Lead negotiation discussions, support Legal team in SPA / Contract preparation and Lead negotiation of commercial terms and protections.
  10. Support capital management activity for the IM perimeter.
  11. Overseeing the Capital Allocation Process (Capall), challenging the entities´ dividend distribution capacity or capital injections needs based on group standards.
  12. Monitoring the cash management of the IM holding company.
  13. Promote and lead the execution of capital optimization action plans on an ad hoc basis.
PROFILE

6 / 7 years experience in M&A or Corporate Finance for the Insurance / Financial sector. Previous experience in Investment Banking FIG, Corporate M&A in Insurance / Financial Institutions or Big 4 Transaction Services teams for FIG. Strong project management, quantitative, analytical and problem-solving skills in finance (accounting, company valuation). Good understanding of the specificities of insurance companies' financials (solvency requirements, technical margin analysis, etc.). Fair understanding of actuarial, accounting, tax, legal and regulatory concepts. Proficient English - French is a plus. Able to adapt to changing environments, keep calm and know how to deal with stress. Ability to quickly identify issues as they arise and solve them in an optimized manner. Strong leadership skills, and strong ability to interact optimally, build trust and influence stakeholders of different seniority levels. Strong motivation and team spirit.
