Velto Renewables (Velto), a subsidiary of CDPQ (Caisse de dépôt et placement du Québec), is looking for a Legal Counsel to join its team in Madrid, Spain. Velto Renewables is an investor, investments manager, and long-term owner of renewable energy projects. Established in 2020 and backed by global investment group CDPQ, Velto Renewables is committed to contributing to the decarbonization of the global economy by investing in and developing an international and multi-technology portfolio of renewable energy projects. Velto currently owns 218 MW of operating solar PV projects in Spain, manages a 25% investment in a 630 MW offshore wind farm in the United Kingdom, develops a 1+ GW of greenfield projects in Iberia, and seeks to grow its portfolio by becoming a local player in the countries and regions where it invests.

Reporting directly to the Head of Legal, the Legal Counsel supports and contributes to Velto’s legal activities, specifically corporate matters, asset management, operations, development, M&A, regulatory affairs, and litigation.

Responsibilities
  1. Legal corporate matters: Provide comprehensive advice, review of services provider contracts, corporate contracts, corporate secretarial support, and general legal advice to the Velto team.
  2. Support Velto’s group in corporate matters.
  3. Asset management: Assist in advising on legal aspects of the solar and wind portfolio, including corporate matters related to subsidiaries, drafting and review of operational contracts (O&M, land leases, service providers), and corporate restructuring transactions.
  4. Liaison with lenders: Manage legal matters and support relations with lenders on existing financing agreements and structuring new agreements.
  5. Development activities: Support legal aspects, including drafting, reviewing, and negotiating contracts for land leases, service providers, and permits.
  6. Project structuring: Draft, review, and negotiate contracts such as PPAs, EPC, O&M, etc.
  7. Business partnerships: Draft, review, negotiate, and manage contracts related to business collaborations.
  8. Contract oversight: Oversee contracts of company and subsidiaries to understand obligations.
  9. Stakeholder relationships: Maintain relationships from a legal perspective.
  10. External law firms: Coordinate and manage relationships with external legal advisors.
  11. Regulatory matters: Provide legal advice on regulations affecting Velto’s activities.
  12. HSE activities: Support legal aspects and monitor implications.
  13. Legal claims: Manage potential claims or legal processes related to contracts.
  14. Public authorities: Liaise with authorities, notaries, chambers of commerce, and the commercial register.
Requirements
  1. Bachelor’s and/or Master’s degree in Law.
  2. Excellent command of English and Spanish; knowledge of French and Portuguese is a plus.
  3. 4-7 years of experience as a qualified lawyer, focusing on commercial and contract law, with experience in infrastructure projects.
  4. At least 2 years of relevant experience in the infrastructure or renewable energy industry.
  5. Desirable experience with solar PV assets in Spain and wind assets.
