Una firma innovadora está buscando un Abogado Senior de M&A para liderar transacciones en la región EMEA. Esta posición clave implica manejar M&A desde su inicio hasta su conclusión, estructurando y negociando documentos esenciales, y coordinando la debida diligencia legal. El candidato ideal debe tener al menos cinco años de experiencia en M&A, preferiblemente en un bufete de abogados de primer nivel, y ser capaz de asesorar a socios comerciales sobre riesgos legales. Formación

  • Mínimo cinco años de experiencia en M&A, incluyendo negociación de documentos clave.

Position Location and Reporting Structure:

This Senior Counsel, M&A EMEA position will report to the Associate General Counsel, M&A and will work closely with divisional and functional lawyers on M&A matters. The Senior Counsel, M&A EMEA will be located in either Madrid, Spain or Milan, Italy and will partner closely with the SVP M&A EMEA and the Corporate Development team.

Main responsibilities:

  1. Successfully handle M&A transactions from inception to conclusion.
  2. Structure, review and negotiate key documents needed for M&A transactions.
  3. Manage lifecycle of various M&A documentation including, letters of intent, engagement letters, purchase agreements, transition services, agreements, licenses, and other deal documentation.
  4. Coordinate performance of legal due diligence with both internal and external resources.
  5. Advise internal business partners on transactional legal risks/issues and their potential impact on operations, including participation in presentations and updates to senior leadership.
  6. Supervise and coordinate preparation and filing of any required merger control filings.
  7. Advise business on preparation of assets identified for divestiture (including internal diligence, preparation of data rooms, review of marketing materials).
  8. Support post-closing activities including integration of acquisitions, indemnity claims and releases, disputes arising out of prior transactions, and legal support of transition services teams.

Experience required:

  1. Be licensed to practice law in the jurisdiction in which they are located.
  2. Minimum of five (5) years of progressively responsible M&A experience, including experience with a top-tier law firm. This experience should include solo negotiation of key documents and independent decision-making.
  3. Prior experience with information solutions and/or SaaS businesses a plus.
  4. Prior in-house experience is also a plus.
  5. Excellent spoken and written English required.
