The Legal Department of Alantra is looking for a young professional to join its team, supporting and developing its Spanish and international entities in all related corporate and asset management legal matters, including :
- Advising internal stakeholders on all aspects of M&A transactions, drafting, reviewing, and negotiating transaction documents such as share and asset purchases, shareholder agreements, joint ventures, restructurings, and reorganizations.
- Conducting legal due diligence, identifying risks, and proposing mitigation strategies.
- Providing strategic input on deal structuring, regulatory implications, and legal risk management.
- Collaborating with tax, finance, employment, regulatory, and other external legal specialists for comprehensive transaction support.
- Managing timelines and coordinating with external counsel, advisors, and legal teams.
- Supporting post-closing matters, including integration, claims management, and corporate housekeeping.
- Drafting, reviewing, and negotiating agreements such as engagement letters, service agreements, and collaboration agreements.
- Supporting deal origination and structuring, legal risk assessment, client negotiations, and regulatory considerations.
- Coordinating with external counsel across jurisdictions to ensure high-quality, cost-effective advice.
- Monitoring legal and regulatory developments relevant to the group's investment banking activities across Europe, the US, the UK, and other markets.
Asset Management Responsibilities :
- Providing legal support for structuring, launching, and maintaining investment funds.
- Drafting, reviewing, and negotiating agreements related to asset management, including fund documentation, investment management, advisory agreements, and distribution arrangements.
- Collaborating with compliance, risk, operations, and investment teams on legal issues across product development, distribution, and portfolio management.
- Liaising with external counsel and regulators in various jurisdictions.
- Preparing regulatory filings related to securities markets and asset management with national and international authorities.
- Monitoring legal and regulatory developments affecting asset management and advising on business impacts and strategies.
Corporate Governance :
- Supporting corporate governance matters, shareholder communications, and board practices in line with applicable codes and rules.
- Advising the Board of Directors on legal and governance issues, ensuring compliance with disclosure obligations and policies.
- Assisting in preparing shareholder meetings, resolutions, and corporate filings.
- Participating in group-wide initiatives, including governance projects and policy development.
Other Responsibilities :
- Developing templates for legal documents and materials to improve team efficiency.
- Participating in digitalization and innovation projects within the Legal Department.
Requirements
- Spanish-qualified lawyer with 3-4 years of experience, preferably from a top-tier law firm in corporate / M&A practice.
- Knowledge of financial regulation and equity capital markets is highly valued.
- Excellent written and verbal communication skills in Spanish and English; additional languages are a plus.
- Strong interpersonal skills.
- Ability to manage multiple priorities and provide pragmatic, business-oriented legal advice under tight deadlines.
- Experience working with international teams and senior stakeholders.
- Detail-oriented, proactive, team-oriented, flexible, and solution-driven with a capacity to contribute ideas.
