Join a growing international group as a Corporate Legal Manager. You will oversee the legal operations for over 50 entities and manage a team of legal counsels. This role requires strong leadership and extensive experience in corporate law, especially in M&A transactions. You will play a critical role in ensuring compliance and leading legal initiatives across multiple jurisdictions.

Formación

  • Au moins 7 ans d'expérience en affaires juridiques d'entreprise, de préférence dans un groupe international ou un cabinet d'avocats réputé.
  • Fluent en français et en anglais (oral et écrit) — obligatoire.
  • Expérience démontrée dans la gestion d'équipes juridiques.

Join our Corporate Legal team and contribute to the global governance of a fast-growing international group. As a Corporate Legal Manager, you will play a key role in overseeing Mantu’s corporate legal operations worldwide, managing legal compliance for over 50 entities, and supporting complex transactions.

This position is an excellent opportunity for a legal professional with strong technical expertise, leadership capabilities, and an international mindset.

Your missions

Global Corporate Governance

Ensure the proper legal maintenance and governance of over 50 group entities (subsidiaries, branches, joint ventures, etc.) across multiple jurisdictions.

Oversee incorporation, restructuring, liquidation, and entity optimization projects.

Draft and manage corporate documentation : board minutes, shareholders' resolutions, powers of attorney, etc.

Coordinate with external counsel and local advisors to ensure compliance with local company law requirements.

Maintain accurate and centralized corporate records.

Equity & Participation Schemes

Manage and structure internal legal frameworks for management participation (stock options, free shares, phantom shares, shareholders’ agreements, etc.).

Draft, negotiate, and manage legal instruments with top executives and strategic stakeholders.

Support HR, Tax, and Finance teams in implementing compliant and effective incentive schemes.

Monitor legal risks and regulatory compliance in multiple jurisdictions.

Legal Team Management

Lead a team of 4 corporate legal counsels and paralegals.

Organize workflows, review deliverables, and ensure consistency across jurisdictions.

Mentor and develop team members in both technical and soft skills.

Collaborate closely with other legal functions and business units.

Legal Support for M&A Transactions

Provide end-to-end legal support on domestic and cross-border M&A projects (acquisitions, divestitures, joint ventures).

Lead legal due diligence processes in coordination with external advisors and internal stakeholders.

Draft, review, and negotiate transactional documents : NDAs, term sheets, SPAs, shareholders’ agreements, etc.

Your profile

Master’s degree in Business / Corporate Law; additional qualification (Bar admission, LLM) is a plus.

At least 7 years of experience in corporate legal affairs, ideally in an international group or reputable law firm.

Strong technical knowledge of company law, group structuring, and governance.

Proven experience with shareholder arrangements and executive equity plans.

Fluent in French and English (both oral and written) — mandatory.

Demonstrated leadership experience in managing legal teams.

Excellent communication, negotiation, and drafting skills.

Highly organized, business-oriented, and able to manage complexity in a fast-paced international environment.
