ASSOCIATE LEGAL COUNSEL

What you will do


In this vital role, you will be at the forefront of shaping our legal landscape, drafting, reviewing, and negotiating a array of agreements with precision and ensuring alignment with laws and our internal policies and industry standards. Your expertise will provide support to our cross-functional teams, offering strategic legal advice on digital innovation, public procurement, and clinical trials, while meticulously maintaining corporate governance.
Additionally, you will handle legal risks, conduct detailed legal research, and stay abreast of the ever-evolving legal landscape. Collaborating with external legal advisors as needed, you will support the development and implementation of robust legal strategies, and adeptly handle disputes and litigation to safeguard our organization's interests. Reporting directly to the Legal Counsel for Spain & Portugal, you will play an integral part in our mission to serve patients and achieve excellence together.

Responsibilities:


General Business Support

  • Draft, review, and support the negotiation of a broad range of commercial agreements, including service contracts, consultancy agreements, non-disclosure agreements (NDAs), sponsorships, and market research contracts, ensuring alignment with internal policies and Standard Operating Procedures (SOPs).

  • Ensure full compliance with applicable laws, internal procedures, and industry codes.

  • Provide proactive legal support to cross-functional teams, including Sourcing, Compliance, Finance, and Digital, acting as a trusted business partner.

  • Advise on legal aspects of product promotion, early access and compassionate use programs, grants, donations, and collaborations with HCPs, institutions, patient organizations, and third-party vendors.

  • Maintain and periodically update the contract templates repository, ensuring consistency with legal and regulatory requirements.

  • Design and deliver periodic legal training sessions to internal stakeholders to promote legal awareness and operational compliance.


Digital Innovation & Market Access

  • Provide guidance on legal aspects of digital tools, innovation projects, and value-based healthcare programs.

Public Procurement

  • Offer legal advice on public tenders and procurement processes.

  • Draft and negotiate public procurement-related agreements and submit allegations.

  • Deliver training on evolving public sector regulations and best practices.

Legal Support to Clinical Trials and R&D

  • Support the Clinical team legally by reviewing and drafting agreements related to sponsored clinical trials, investigator-initiated studies, and observational research.

  • Advise the Medical Department on clinical trial operations and regulatory compliance (Farmindustria and Apifarma Codes, and relevant legislation).

Corporate Governance & Administration

  • Support corporate governance and entity maintenance activities, including drafting shareholder and board resolutions, updating corporate records, and managing powers of attorney.

  • Ensure compliance with local registration and reporting obligations, including filings with the Commercial Registry.

What we expect of you
We are all different, yet we all use our unique contributions to serve patients. What we seek in you as an experienced professional, are these qualifications and skills:

Minimum requirements:

  • Law degree from recognized university law faculty.

  • Admitted to the Spanish Bar Association.

  • Minimum of 5-6 years of relevant legal experience, in a law firm (life sciences/health care experience preferred) or in-house in a European or multinational life sciences company, or a combination of both.

  • Fluency in Spanish and English (oral and written); strong legal drafting and negotiation skills in both languages.

Preferred requirements:

  • Experience in pharmaceutical or biotechnology industries, with exposure to EU and Spanish health law, commercial and R&D-related legal matters.

  • Master’s degree or further training in pharmaceutical law, public law, intellectual property, or digital law.

  • Familiarity with compliance frameworks (e.g. EFPIA Code, Farmindustria, Apifarma).

  • Experience with contract lifecycle management tools and digital legal operations.
