SUMMARY OF POSITION

Adalvo seeks a meticulous and business-focused Senior Legal Manager to provide comprehensive legal support across Adalvo’s organization. Together with a team of committed colleagues, the Senior Legal Manager will have an active role within the Legal Department, supporting a range of ongoing projects in collaboration with key departments such as Business Development, Strategic Partnerships, Corporate Development, Alliance Management and Scientific Affairs.

ORGANIZATION STRUCTURE

The Senior Legal Manager position is an in-house legal counsel role incorporated in the Legal Department, reporting to the Legal Director.

RESPONSIBILITIES

On a daily basis, the Senior Legal Manager will:

  1. Provide strategic legal advice and guidance to support Adalvo’s business operations;
  2. Draft, review and negotiate a wide range of commercial agreements, including but not limited to licensing agreements, development agreements, manufacturing and supply agreements and distribution agreements;
  3. Participate and lead M&A projects from a legal standpoint, such as in the conduct of due diligence and review of transaction documentation, ensuring deals align with Adalvo’s strategic goals;
  4. Contribute to building and designing best legal processes and practices for the Legal Department that streamline operations and improve overall legal functions;
  5. Provide timely recommendations to mitigate potential legal exposure;
  6. Proactively identify potential legal risks and assist in implementing strategies to minimize those risks;
  7. Regularly communicate with and provide input to the Legal Director regarding legal issues and developments affecting Adalvo.
QUALIFICATIONS

Excellent level of English, both written and spoken; 5 to 7 years of legal experience preferably within an in-house Legal department at a pharmaceutical company or, at a top law firm with a focus on life sciences; Proven track record in managing complex commercial agreements, such as licensing agreements, development agreements, manufacturing and supply agreements and distribution agreements; Experience in managing M&A projects, including conducting due diligence and reviewing/negotiating transaction agreements; Strong ability to collaborate in a team environment; Business-focused, with the ability to understand and align legal strategies with broader business objectives; Excellent written and oral communication skills, enabling communication across various levels of the organization; Strong interpersonal skills, with the ability to effectively interact with executive leadership, internal teams, and external partners; and a dedicated and high-integrity professional who operates with the utmost ethical standards in handling sensitive legal matters.
