Job summary

Motorola Solutions Germany GmbH is seeking a Commercial Counsel based in Germany with hybrid working options to support the European legal team on strategic priorities across Continental Europe and the UK.

You will advise on pre-sales bids, draft and negotiate complex commercial agreements, ensure GDPR/DSGVO compliance, and help with governance, cross-border disputes, and M&A activities. Strong English and EU law knowledge are essential; German language skills are a plus, with up to 10% travel.

Qualifications

• Qualified lawyer in an EU jurisdiction (e.g., German Volljurist, French Avocat, Spanish Abogado, or equivalent EU Master’s degree).
• 3+ PQE ideal, with experience in commercial contracting, technology/SaaS law, and public procurement across Europe and UK.
• Business-fluent English; German or other major European languages a plus.

We are currently looking for a talented and proactive Commercial Counsel to join our European legal team to provide legal advice and support to the Motorola Solutions business on strategic priorities across Continental Europe and the UK.

Job Description

This role is based in our German office with flexible hybrid working options, reporting directly to the Commercial Legal Lead (UK) and collaborating closely with the broader international legal team. As Commercial Counsel, you will be responsible for:

• Advising on pre-sales bids for, and the in-life delivery of, Motorola Solutions’ products and services across Continental Europe and the UK, including go-to-market framework opportunities and government contracting vehicles.
• Providing contract risk analysis and mitigation plans tailored to cross-border EU and UK legal frameworks (including standard EU commercial law, GDPR/DSGVO, and cross-border trade guidelines).
• Drafting, reviewing, editing, negotiating, and finalizing commercial agreements to meet business and legal requirements in both English and regional European languages. Agreements include sales/supply, reseller/distribution, framework, government contracts, procurement, EULAs, NDAs, professional services, SOWs, OEM, maintenance, consulting, outsourcing, hosting, SaaS, and other technology agreements.
• Assisting and advising on compliance with Motorola Solutions governance, standard policies, and ethics issues arising out of European business operations.
• Assisting with cross-border contract disputes, providing guidance on pragmatic options and solutions.
• Updating standard terms and conditions and templates, ensuring alignment with regional EU and UK legal updates.
• Proactively developing and maintaining technical knowledge in specialized area(s), remaining up-to-date on current trends and best practices.
• Knowledge sharing and training local business stakeholders on legal, compliance, and governance matters.
• Supporting M&A transactions across the region as needed (due diligence and integration activities).

Qualifications & Experience

• Qualified lawyer in an EU jurisdiction (e.g., German Volljurist, French Avocat, Spanish Abogado, or equivalent EU Master’s degree in Law (LLM, Master en Droit, Master of Laws, or equivalent university legal degree).
• Ideally you will be 3+ PQE, but all levels of experience in commercial contracting, technology/SaaS law, and public procurement, with proven experience handling cross-border matters across Continental Europe and the UK, will be considered.
• Business-fluent English (essential for daily reporting to UK leadership and cross-border commercial negotiations), fluent German or other major European languages are a plus.
• Demonstrated working knowledge of EU continental legal systems alongside familiarity with UK commercial contracting principles.
• Ability to work independently, responsively, and collaboratively in a cross-border/matrix management setup.
• Excellent communication, drafting, and negotiation skills with strong attention to detail.
• Ability to influence and lead stakeholders at all levels of the company.
• Availability for limited travel within Europe as required.
