Job summary

Dapta is hiring its first in-house lawyer to build the legal function from scratch. You will own all legal matters from commercial contracts to data privacy, AI compliance, and governance, reporting to the CEO and partnering with Sales, Product and Finance.

You will draft, negotiate and close deals yourself, ensuring compliance across markets and guiding product and sales with practical regulatory advice. This role is hands-on and strategic, with growth potential as we scale.

Qualifications

• 2+ years of practice, including at least 2 in-house at a SaaS or tech company, or at a law firm advising tech startups and venture-backed companies
• Proven experience negotiating B2B SaaS contracts with enterprise customers
• Hands-on experience with data protection compliance in LatAm
• Ability to understand SaaS, APIs and AI models to work with Product/Engineering
• Proficient in using AI tools to improve speed and quality of work

Responsibilities

• Draft, review and negotiate customer agreements (MSAs, order forms, SOWs, SLAs) for enterprise and Scaleup accounts
• Own contract templates and maintain a playbook of fallback positions for Sales
• Negotiate vendor, partner and reseller agreements including AI model providers
• Turn around redlines within defined SLAs and maintain deal velocity
• Own data protection compliance across markets and draft DPAs and security addenda
• Lead legal diligence for financings and coordinate with outside counsel
• Manage budget for outside counsel across jurisdictions
• Structure employment and contractor agreements across countries (including EOR)
• Own internal policies (IP assignment, confidentiality, information security)
• Protect Dapta’s IP and trademarks
• Support corporate governance for Dapta Inc. and LatAm subsidiaries

Job description

Dapta is an AI automation platform helping companies across LatAm operate faster and with less friction.

We’re growing fast across LatAm and the US, and we’re hiring our first in-house lawyer to build the legal function from scratch. This role is ideal for a commercial lawyer who has worked at a tech company or advised startups, understands AI and data, and wants to be a business partner rather than a bottleneck.

About the Role

As In-House Legal Counsel, you will own every legal matter at Dapta: commercial contracts, data privacy, AI compliance, corporate governance and employment. You’ll report directly to the CEO and work closely with Sales, Customer Success, Product and Finance.

Your day-to-day will mix fast work and strategic work: reviewing and negotiating customer contracts, answering questions from the sales team, keeping our AI voice and text agents compliant across markets, and getting the company ready for diligence as we scale.

Important: this is a hands-on role. You will draft, negotiate and close deals yourself. You won’t just send work to outside counsel.

What You’ll Do

Commercial Contracts

• Draft, review and negotiate customer agreements (MSAs, order forms, SOWs, SLAs), mostly with enterprise and Scaleup accounts
• Own our contract templates and keep a clear playbook of fallback positions so Sales can close without waiting on Legal
• Negotiate vendor, partner and reseller agreements, including AI model providers, telephony and integrations
• Turn around redlines within defined SLAs. Deal velocity matters here.

Data Privacy & AI Compliance

• Own data protection compliance across our markets (Colombia’s Law 1581 / Habeas Data, Mexico’s LFPDPPP, Brazil’s LGPD, GDPR for EU-facing clients, and US state privacy laws)
• Draft and negotiate DPAs, security addenda and responses to customer security and privacy questionnaires
• Make sure our AI voice and text agents comply with outbound calling and messaging rules (TCPA in the US, Colombia’s Law 2300 on commercial contact hours, consent and recording requirements, WhatsApp and carrier policies)
• Follow AI regulation as it develops in our markets and turn it into practical product and sales guidance
• Support corporate governance for Dapta Inc. and its LatAm subsidiaries: board consents, cap table hygiene, equity grants, entity maintenance
• Lead legal diligence prep for financings and work with outside counsel on deal documents
• Manage and keep the budget for outside counsel across jurisdictions

Employment & Operations

• Own internal policies (IP assignment, confidentiality, acceptable use, information security)
• Protect Dapta’s IP and trademarks

What We’re Looking For

Background

• Law degree and active bar admission in Colombia (US or other LatAm admission is a plus)
• 2+ years of practice, including at least 2 in-house at a SaaS or tech company, or at a law firm advising tech startups and venture-backed companies
• Proven experience negotiating B2B SaaS contracts with enterprise customers
• Hands-on experience with data protection compliance in LatAm
• You understand how SaaS, APIs and AI models work well enough to ask the right questions of Product and Engineering
• You use AI tools daily (ChatGPT, Claude, Harvey, Spellbook or similar) to work faster
• You know the current landscape of AI, privacy and telemarketing regulation, or can get up to speed on it quickly

Soft Skills

• Business-first judgment: you size risk and give a clear recommendation instead of a list of everything that could go wrong
• Excellent written communication, with plain-language answers non-lawyers can act on
• Comfortable working without a team, templates or precedent, and building all three
• Advanced English (C1+). Most contracts and negotiations will be in English.

What We’re NOT Looking For

• Litigation-focused profiles with little contract or advisory experience
• Lawyers who need a large team or extensive outside counsel support to get work done
• People who default to “no” rather than finding a path to “yes, if…”
