Zusammenfassung

Sandoz is seeking a Specialist Group Governance Legal (d/f/m) to support governance and legal administration of Sandoz AG and other Swiss entities, ensuring Swiss corporate law compliance and governance standards. You will collaborate with internal and external stakeholders and help develop governance frameworks and controls.

Responsibilities include maintaining governance activities, coordinating with authorities, notaries and service providers; overseeing signatories and Powers of Attorney;

Qualifikationen

• University degree in Law or related field.
• Experience in governance or legal administration.
• Good understanding of Swiss corporate law.
• Ability to collaborate with diverse internal and external stakeholders.
• Fluent in German and English.

Aufgaben

• Support Swiss corporate governance and legal administration for Sandoz AG and Swiss entities.
• Coordinate with authorities, notaries, registers, external counsel, and service providers.
• Oversee representation rights, signatories, and Powers of Attorney.
• Coordinate governance-related KYC, AML, due diligence, and information requests.
• Manage document execution, certifications, apostilles, and legalization processes.
• Assist in implementing governance frameworks and policies.
• Deliver governance communications, training, and awareness.
• Contribute to global governance, legal entity management and compliance matters.
• Provide incidental support in procurement, finance and governance operations.
