Job Summary
Serves as primary local finance contact for Switzerland and Hungary companies, and rigs and other companies, rigs and locations as may be added. Supports statutory teams in equity analysis, fixed asset registers and statement preparation, as needed. Provides finance review and support as needed for all operations, asset management and corporate governance matters involving Switzerland and Hungary companies. Reports on any issues that could impact asset status, asset value, competitiveness or the bareboat charter agreement. Participates in decisions with respect to capital investments in shipyard projects, rig stacking, rig recycling, rig reactivations and rig upgrades. Participates in financial management of risks facing the respective rig owning subsidiaries with respect to capital investment ability to keep the rig working (rig stacking and rig recycling) and insurance. Monitor all capital expenditures associated with the group of rigs.
Prepare financial updates by entity for presentation at quarterly board meetings to include periodic results, budgets and quarterly forecast updates.
Ensure compliance and timely submissions of local tax filings and reconciliations in Switzerland including; VAT, PIT, GST, Stamp Tax, Vendor and Revenue WHT. Support external indirect tax and regulatory body audits.
Job Description
Education:
- Bachelor's Degree in Accounting or Finance Required
- Accounting or finance and Professional Institute certification (CMA, CPA equivalent) preferred
Experience:
- Fluency in German, Accounting, finance and analytical skills, written and verbal communication required
- 8 years in accounting, with experience working for a multinational company required
- Preferably with Corporate Governance and Oil & Gas background
Key Roles & Responsibilities
- Subsidiary Corporate Governance - Serves as director of subsidiary entities. In conjunction with Tax and internal counsel, organizes and administers corporate governance actions for subsidiaries organized in Switzerland, Hungary, and Luxembourg and other juridictions (as necessary), ensuring compliance with governing laws. Coordinates preparation of meeting schedules, agendas and presentation materials in conjunction with internal counsel and Tax, as required. Attends each meeting and addresses questions and issues submitted by other board members, reviews and finalizes board meeting minutes as prepared by company secretary, prior to execution and filing in board books. In conjunction with legal counsel, ensures, corporate registers are maintained, all required filings are submitted, and all license or other fees are timely paid. Drafts and executes the agreements and files all relevant documentation evidencing the history of the transaction in the BBC share point site. Travels each quarter to attend Hungary board meetings and otherwise travels outside of Switzerland as required for non-quarterly requirements for Hungary entities
- Statutory support, Asset and Financial Management - Coordinates with statutory accounting teams in Houston and Aberdeen in respect submission to external auditors of complete and timely statutory account statements. Preparation of Switzerland capital taxes analyses and provide forecast. Assist in preparation of fixed asset registers of rigs owned by Switzerland entities. Keep track of external and internal equity activity for Transocean Limited and provides quarterly analysis for various requirements. Coordinates responses on audit queries and information requests during the conduct of the audits. Participates in presentation to the entity boards of draft annual accounts as part of the process for approval and filing. Assists Leasing Director with financial evaluations of asset sales, upgrades and purchases. Approved project AFE’s as applicable. Maintains a knowledge of rig activities and is familiar with the function and structure of each entity in order to evaluate the reasonableness of financial forecasts. Prepare financial updates by entity for presentation at quarterly board meeting of annual results and budget plus quarterly forecast updates. BBC Agreements – representing rig owners, negotiates rates and agrees terms of the charter agreements based on drilling contract terms and transfer pricing advice received from the appointed Transfer Pricing Expert. Drafts and executes the agreements and files all relevant documentation evidencing the history of the transaction in the BBC SharePoint site
- External Compliance - Ensure compliance with local tax filings and reconciliations including; VAT, PIT, GST, Stamp Tax, Vendor and Revenue WHT. Coordinate with Tax department regarding planning and settlement actions across assigned jurisdictions (can include assistance regarding Corporate Income Tax). Ensure timely submission of financial statistical returns as required by local government authorities. Support external tax and regulatory body audits. Prepares annual and quarterly filings for all Swiss Indirect Taxes including Forms 3 / 4 / 9 /12 /102 / 103 / 106 / 108 /110 / 170 for review by Tax advisers. Reviews quarterly Swiss VAT returns and prepares annual Capital Tax returns in conjunction with Tax.
- Assist with Treasury matters including preparation of local cashflow forecasts and submission of Funding Requests to ensure adequate funds held locally to cover payment needs and ensuring that excess funds are moved to Corporate quickly. Assist with administrative management of bank accounts including compliance with regulatory reporting
- Support and supervise local staff and ad hoc requests and analysis as required by manager and functional heads.
