Jobbeschreibung

As the Senior Legal Counsel - Divestments & Contract Manufacturing Business, you will serve as the primary legal advisor on divestiture projects and commercial manufacturing agreements, ensuring compliance and protecting the company's interests. Your main responsibilities include:

  • Offering strategic legal advice and support for divestment activities, including M&A transactions and related agreements.
  • Drafting, reviewing, and negotiating essential contracts such as asset purchase agreements, share purchase agreements, and service agreements.
  • Identifying and mitigating legal risks in collaboration with business stakeholders and handling potential disputes.
  • Working closely with interdisciplinary teams, including Tax, Regulatory Affairs, Intellectual Property, and IT, to address legal implications comprehensively.
  • Managing relationships with external legal counsel to ensure effective and efficient handling of complex cases.

The ideal candidate has a solid legal background with expertise in M&A and contract law within the pharmaceutical industry. Key qualifications include:

  • Fully qualified lawyer in the UK or an EU jurisdiction, with at least 10 years of post-qualification experience.
  • Minimum 5 years of experience in the pharmaceutical industry, with a deep understanding of technical pharma agreements.
  • Expertise in civil and contract law, with proven experience handling complex M&A transactions.
  • Strong analytical and problem-solving skills, paired with a collaborative and business-oriented approach.
  • Excellent communication and negotiation abilities; fluency in English is required, and proficiency in an additional European language is advantageous.
  • Comfortable working independently while maintaining strong collaboration with global stakeholders.
