Position Overview:

The firm is seeking a mid to senior-level Transactional / Corporate-Commercial Lawyer with a solid foundation in corporate law, particularly in handling transactions and commercial contracts. Experience in charity law is a strong asset.

Key Responsibilities:

• Provide legal counsel on corporate-commercial and transactional matters, including mergers, acquisitions, restructurings, and governance.
• Draft, review, and ensure compliance of commercial agreements and other legal documents with applicable regulations.
• Conduct due diligence and support the negotiation and documentation of corporate transactions.
• Advise on charity law matters, such as incorporation, compliance, and governance for non-profit and charitable organizations.
• Collaborate closely with clients to understand their goals and offer tailored, strategic legal solutions.
• Stay up-to-date on legal developments in transactional law, corporate governance, and charity law.

Qualifications:

• LL.B. or J.D. from an accredited institution.
• Member in good standing with the Law Society of Ontario.
• 5+ years of experience in transactional/corporate-commercial law, ideally from a respected law firm or in-house counsel.
• Strong knowledge of corporate law and transaction processes.
• Experience with non-profit organizations and a solid understanding of charity law is highly preferred.
• Excellent communication skills, capable of explaining complex legal concepts in a clear and accessible way.
• Dedication to social justice and community service is a significant advantage.
